(a) To the extent required pursuant to the terms of the Facility Agreement, each Charger undertakes to ensure that each company which becomes a Subsidiary incorporated in England and Wales (whether direct or indirect) of any Chargor after today's date shall, promptly upon being required to do so by the Security Trustee, execute a Deed of Accession in substantially the form set out in Schedule 6, and such company shall on the date which such Deed of Accession is executed by it become a party to this Deed in the capacity of a Chargor, and this Deed shall be read and construed for all purposes as if such company had been an original party to this Deed as a Chargor (but for the avoidance of doubt the security created by such company shall be created on the date of the Deed of Accession).
