There would be a few ways to make this sound like normal English:
"Those elected to the Board of Directors are individuals who are shareholders in the Company."
"Elected members of the Board of Directors are drawn from among individuals who are shareholders in the Company."
"Members of the Board of Directors are elected from among individuals who are shareholders in the Company."
In all cases, you could substitute "individual shareholders" for "individuals who are shareholders," because I don't think the ambiguity you're worried about really arises, once you have "from among" in there. But, to be sure, you could leave it in the more spelled-out form.
"Those elected to the Board of Directors are individuals who are shareholders in the Company."
"Elected members of the Board of Directors are drawn from among individuals who are shareholders in the Company."
"Members of the Board of Directors are elected from among individuals who are shareholders in the Company."
