الموضوع / إنذار قانونى بانهاء الاتفاقية بمرور 45 يوما من تاريخ اليوم 30/3/2020 مع ضرورة سداد المبلغ المستحق (مبلغ قدره 49,211.68 درهم ومبلغ وقدره 5528.25 درهم لموكلتنا خلال مهلة أقصاها 7 أيام من تاريخه
بموجب عقد الاتفاقية المحررة بين الطرفين والمؤرخة بتاريخ 31/10/2019 بخصوص ( اتفاقية الاستشارات التسويقية والتشغيلية والموقعة بين الطرفين .
حيث انكم لم تلتزموا ببنود العقد وذلك على الرغم من الاخطارات والتنبيهات والاشعارات المرسلة اليكم بضرورة الالتزام ببنود العقد والوفاء بالتزاماتكم حسب العقد الا اننا لم نتلقى من قبل ادارتكم ما يفيد تنفيذكم للبنود الواردة تفصيلا فى الاتفاقية وعدم التزامكم ببنود الاتفاقية والوفاء بالبنود الورادة تفصيلا بالاتفاقية ونتيجة لذلك ووفقا لبنود الاتفاقية والبند (9 – 1.9 والفقرة 2.9 والتى تنص ( يكون لاى من الطرفين الحق فى انهاء هذه الاتفاقية عن طريق تقديم اشعار خطى قبل 45يوما .))
وحيث أن المنذرة قد طالبكم وديا مرارا وتكرارا بالتزام ببنود العقد والوفاء ببنود العقد ومن ثم وعملا بحقها المكفول بموجب البنود اعلاه .
لـــذلك
1/ فإننا ننذركم ونخطركم بانهاء الاتفاقية بمرور 45 يوما من تاريخ اليوم 30/3/2020 وذلك حسب بنود العقد مع ضرورة تسليم ادارة المنذرة كافة البيانات وتفاصيل الدخول للمواقع الالكترونية وعلى سبيل المثال تفاصيل الدخول لموقع بوكينغ دوت كوم والمسلمة اليكم على سبيل الامانة بموجب الاتفاقية محل الاخطار بالانهاء بمرور 45يوما من تاريخ اليوم 30/3/2020.
2/ وبصورة عاجلة بسداد مبلغ وقدره 49,211.68 درهم ومبلغ وقدره 5528.25 درهم للمنذرة وذلك خلال اسبوع من تاريخ استلامكم لهذا الانذار .
3/ لذلك فإننا و بالنيابة عن موكلتنا ننذركم بان تبادروا بسداد المبلغ المستحق لموكلتنا خلال مهلة أقصاها 7 أيام من تاريخه و مع الاحتفاظ بكافة حقوق موكلتنا القانونية و التعاقدية فإننا و بالنيابة عن موكلتنا سنتخذ كافة الإجراءات القانونية و القضائية الكفيلة بحماية حقوق موكلتنا لاقتضاد مستحقاتها مع الاحتفاظ بأي حق آخر للموكلة بالمطالبة بالفائدة القانونية من تاريخ الاستحقاق و لغاية السداد التام و تضميكم كافة التعويضات عن أضرار لحقت بموكلتنا جراء إخلالكم بالتزامكم بالإضافة إلى الرسوم و المصاريف و الغرامات التأخيرية و أتعاب المحاماة .
3/ لذا فإننا نخطركم بصورة من هذا الإنذار للعمل بما جاء به وما إشتمل عليه وليكن حجة عليكم فى مدلوله.
مع حفظ كافة حقوق المنذر ة الأخرى .
وتفضلوا بقبول فائق الإحترام والتقدير ،،،

Subject: a legal notice of 45 days prior to the agreement termination starting from this date, 30/3/2020 along with an obligation to pay an amount of AED 49,211.68 plus AED 5528.25 due to our client no later than 7 days of this date.
Under per the marketing and operational consulting agreement signed by the two parties on 31/10/2019.
And Since you have not complied with the contractual terms, omitting the sent warnings and notices of the necessity to abide by terms and contractual obligations. However, we have not received any response from your management which proved your compliance with the terms set out in the signed agreement which considered as a failure to abide by the terms of the agreement and the obligations thereafter. And in reference to the clause no. 9 – 901 and clause no. 2.9 set out in the agreement (either party shall be entitled to terminate the agreement by serving a notice period of 45 days.).
Since, the notifier has frequently requested you to amicably comply with the terms and obligations set out in the agreement. The notifier has decided to exercise his rights provided by the said terms.
Accordingly
1- under the terms of the agreement, please consider this notice as a 45 days’ notice prior to agreement termination commencing from this notice date, 30/3/2020 requiring the notified to provide the notifier with the access details to the related websites, for example, the access details to booking.com website which were previously entrusted to the notified under the agreement, subject matter of this 45 days’ notice of termination commencing from this date, 30/3/2020.
2- We request you to urgently pay the notifier an amount of AED 49,211.68 in addition to an amount of AED 5528.25 within one week commencing from the date of receipt of this notice.
3- On behalf of our client, we notify you of the necessity to pay the amount due to our client no later than 7 days from this notice. And without prejudice to our client’s legal and contractual rights, we will take all the legal and judicial procedures required to reserve our client’s entitlements without prejudice to any other right which grants the legal interests accrued from the due date till the full payment. In addition to any required damages may accrue due to the failure to fulfill your obligations plus the delay penalties and the attorney fees.
4- We are sending you a copy of this notice for your kind information and necessary action, without prejudice to all other rights of the notifier.
