Source text - English GLOSSARY OF TERMS, DEFINITIONS AND ABBREVIATIONS RELATED TO THE CONTRACT
For the purpose of this Contract, the following definitions will apply. Not all of them are used in the contract but they frequently appear in xxx documents submitted to the INVESTOR.
‘Assets’: xxx rights on both xxx and xxx.
‘Barrel’: equivalent to 42 gallon (USA).
‘Block’: An area composed of separate contiguous leaseholds, appropriate in size for the drilling of an exploratory well.
‘Commercial Bid Round’: means a Competitive Open Process, provided by the Department of Petroleum Resources (DPR) with the approval of the Minister of Petroleum Resources, for the Companies –previous legal registration- access to offer (in a bidding conference) to be operators in petroleum exploration and production operations in xxx.
‘Crude Oil’: means mineral oil in its natural state before it has been refined or treated (excluding water and other foreign substances).
‘Deep Offshore Water’: waters deeper than 200 m
‘Deposit’: an amount of US $ 4.600.000 million that shall be made available in order to pay YEW commitment with NNPC for the acquisition the license on one Marginal Field.
‘Exploration’: preliminary search by surface geological and geophysical methods, including aerial or land surveys, seismic data gathering and analysis and well drilling. An oil exploration licence shall apply to the area specified therein.
‘Exploitation’: the profit of the blocks. It may include both exploration and production.
‘Financial Partner’: funding source to achieve the goals of the Contract which entitles to take the benefits here stated.
‘Home-Port’: Port Harcourt, FR of Nigeria.
‘Joint Venture’: Any agreement or arrangements under which the Company jointly develops various oil and natural gas concessions projects.
‘Loan’: the total amount made available to YEW to fulfill the objectives of the Contract and to be paid back according to stated conditions.
‘Major Company’: A company integrated to a substantial degree, that is, engaged in production, refining, transportation, and marketing.
‘Marginal Field’: In the licensing exercise through which Nigeria offered its marginal fields, marginal fields are described as:
• Fields not considered by license holders for development because of assumed marginal economics under prevailing fiscal terms.
• Fields which have had at least one exploratory well drilled on the structure and have been reported as oil and gas discoveries for more than 10 years.
• Fields with high gas and low oil reserves.
• Fields that have been abandoned by the leaseholders for upwards of 3 years for economic reasons.
• Fields which the present leaseholders may consider farming out due to portfolio rationalization.
