MINUTES
On 13 May 201X, a meeting of the Board of Directors of XXXXXX. (the “Company”) was held at the Company’s registered offices in XXXXX, under Articles XX and XX of the Bylaws and Articles XXX et sequitur of the XXXX Act relating to Commercial Companies of the XXXXXXX (the “XXXXXX Act”).
All current directors of the Company were present: Mr. XXXX; XXXXX, which has Mr. XXXXXX as its standing representative; Mr. XXXXXX; and Mr. XXXXXXX.
The Company’s Auditor XXXXXXX, which was called to the meeting under Article XX of the Bylaws and Article XXX of the XXXX Act by letter dated 12 March 201X, did not attend the meeting.
The directors agreed that the meeting would be chaired by Mr. XXXXX, as Chairman and Managing Director of the Company, who opened discussion on the following sole item on the agenda:
SOLE ITEM: 201X financial statements and management report.
Under Articles XXX and XXX of the XXXXX Act and XXXX and XXXX of the Civil Code, the directors unanimously resolved to ratify and approve the 201X financial statements and management report, as well as any action taken by any director in connection with same, including, but not limited to, preparing, signing and sending the documents to any third party, including the Company’s auditors, on behalf of the Board of Directors, and also unanimously approved a proposal to be submitted to the General Assembly of shareholders, for the allocation of the profits of the year, amounting to XXXXXXXXX (XXXXXX) Dollars, to be made as follows:
(a) XXXXX (XXXXX) Dollars will be allocated to the legal reserve of the Company in accordance with Articles XXX, paragraph X and XXX, paragraph X(X) of the XXXXXX Act; and
(b) The remainder of the profits of the year, in the amount of XXXXXXXX (XXXXXX) Dollars, will be carried forward.
Having no further issues to discuss, the meeting of the Board of Directors was closed and these minutes have been drawn up and since they completely and accurately reflect the proceedings that took place, same are signed by those attending.

El 13 de mayo de 201X fue celebrada una reunión del Consejo de Administración de XXXXXX (la “Sociedad”), en la sede de la Sociedad, en XXXXX, bajo los artículos XX y XX de los Estatutos y los artículos XXX y siguientes del Acto XXXXX relativo a las Sociedades Comerciales de la XXXXXXXXXX (el “Acto XXXXXXX”).

When I was 10-years-old, my family moved from Spain to Colorado, USA.
I attended middle school there and all of my friends were American. After just 9 months no one could believe I was not born American. Learning a language this way is the most effective and efficient way to learn it. As a child, you just simply take everything in and while learning a new language, you are also learning a new culture and way of thinking.
At age 13 I moved back to Spain. I was then able to cement my Spanish cultural roots.
Then, when I was 15-years-old, we moved again, this time to Portugal. Here I was able to learn Portuguese at still an early age.
After obtaining two University Degrees, in Law and Business Administration, and an MBA in International Business Management, I worked for several years as a lawyer, external auditor in PwC, financial controller and cost manager in several countries around the world. Throughout this time, I also worked as a freelance translator and reviser for a Law Firm for over 8 years.
It then became clear to me that I was meant to be a translator and now I work as a full-time translator and reviser.
