Aircraft Specific Lease Agreement
TO THE EXTENT THAT THIS AIRCRAFT LEASE AGREEMENT CONSTITUTES CHATTEL PAPER (AS DEFIND IN THE UNIFORM COMMERCIAL CODE AS IN EFFECT IN ANY APPLICABLE JURISDICTION), NO SECURITY INTEREST IN THIS AIRCRAFT AGREEMENT MAY BE CREATED THROUGH TRANSFER OR POSSESION OF ANY COUNTERPART OTHER THAN THE ORIGINAL COUNTERPART, WHICH SHALL BE IDENTIFIED AS THE COUNTERPART DESIGNATED AS THE ORIGINAL ON THE SIGNATURE PAGE OF THIS AGREEMENT BE LESSOR.
TO THE EXTENT THE CAPE TOWN CONVENTION 2001 AND ITS PROTOCOL ON MATTERS SPECIFIC TO AIRCRAFT EQUIPMENT HAVE COME INTO EFFECT IN RUSSIA, OR (IF DEFFERENT) IN THE STATE OF AIRCRAFT REGISRATION, THE INTERSTS OF LESSOR, OWNER&ANY FINANCING PARTIES UNDER THIS LEASE AND/OR IN RESPECT OF THE AIRCRAFT SHALL BE CAPABLE OF REGISTRATION AS INTERNATIONAL INTERESTS IN ACCORDANCE WITH SUCH CONVENTION AND PROTOCAL.
The parties listed below as Lessee and Lessor hereby agree in this AIRCRAFT SPECIFIC LEASE AGREEMENT dated as of ___September 20_ the following:
General
1. Lessee:

3. Aircraft:
One (1)B737-300 bearing manufacturer’s serial number 25179
4. Manufacturer:
The Boeing Company
5. Engines:
CFM International CFM56-3C1, with 22, 000 pounds thrust rating
6. Duration of Term:
60 months from Delivery Date
7. Lessor Extension Option
Lessor will have the right to extend the term of the Lease by a further 24 months upon providing the Lessee with not less than 12 months prior written irrevocable notice. Rent during the extension will remain at $____ . On or prior to the Original Scheduled Expiry Date, Lessee will deliver to Lessor any other documents and evidence corresponding to those required by Clause 3 of the Common Terms Agreement as Lessor may reasonably require to reflect the extension of the Original Scheduled Expiry Date.
Payments
8. Rent:
A fixed Rent (payable in advance) of $____per month for the duration of the Term.
9. Deposit:
Lessee shall pay a Deposit, in cash, in the amount of $___ payable at the following times and in the following amounts:
a) $___, previously paid by Lessee pursuant to a letter of intent relating to the Aircraft;
b) $___ within five Business Days of the execution of this Aircraft Specific Lease Agreement; and
c) $__, no later than two Business Days prior to Delivery.
Lessee shall have the option to replace all or part of the Deposit with a Letter of Credit (in accordance with Clause 5.14 (Letter of Credit) of the Common Terms Agreement), at any time prior to the date two days prior to the Delivery Date or during the Term. Promptly after acceptance by Lessor of such Letter of Credit, Lessor shall refund the amount of the Deposit equal to the value of that letter Credit.
10. Supplement Rent:
Based on the assumed Utilization and Assumed Ratio, Lessee shall pay Supplemental Rent as noted below.
11. Assumed Utilization:
3000 Flight Hours per 12-month period
12. Assumed Ratio:
2.5 Flight Hours to 1 Cycle ratio (2.5:1)

КОММЕРЧЕСКИЕ УСЛОВИЯ
Общее

7. Возможность продления
Арендодатель будет иметь право продлить срок Аренды на следующие 24 месяца при предоставлении Арендатору предварительного письменного безотзывного уведомления за 12 месяцев. Арендная плата при продлении будет оставаться $_____в месяц. В Изначально запланированную Дату истечения срока аренды или до нее Арендатор передаст Арендодателю любые иные документы и их подтверждения, требуемые согласно Статье 3 Договора об общих условиях аренды, как может потребовать Арендодатель для того, чтобы отразить перенос Изначально запланированной Даты истечения срока аренды.
Oплата
8. Арендная плата:
Фиксированная арендная ставка (выплачивается по предоплате) $_____за каждое ВС в месяц на протяжении всего Срока аренды.
9. Депозит:
Арендодатель выплатит Депозит в размере $______в следующие сроки в следующих долях:
a) $_____, ранее выплаченные Арендатором после подписания данного Договора о намерениях в отношении данного Воздушного судна;
b) $_______на пятый Рабочий день после подписания данного Контракта, и
c) $______не позднее чем за два Рабочих дня до Поставки ВС.
У Арендатора будет возможность заменить весь или часть Депозита Аккредитивом (согласно Статье 5.14 Аккредитив Договора об общих условиях аренды) в любое время до даты, наступившей за два дня до Поставки или во время Срока аренды. Сразу после получения Арендодателем такого Аккредитива, Арендодатель возвратит сумму Депозита в размере, указанном в таком Аккредитиве.
10. Дополнительная арендная плата:
Исходя из Предполагаемого использования и Предполагаемого отношения «летный час/ цикл», Арендатор будет выплачивать дополнительную арендную плату как указано ниже.

This Engine Sublease Agreement, dated as of November __, 20__, is entered into by and between Pacific Aviation Group, LLC, a Delaware limited liability company, having its principal place of business at 18604 Phantom Street, Victorville, California 92394 (herein called "Lessor"), and PUBLIC JOINT STOCK COMPANY "KRASNOYARSK AIRLINES", a corporation organized and existing under the laws of the Russian Federation, having its principal place of business at 660022 Russia, Krasnoyarsk, Aerovksalnaya, Str 7B (herein called "Lessee").
RECITALS
Lessee desires to sublease from Lessor and Lessor is willing to sublease to Lessee the Engine described herein upon and subject to the terms and conditions of this Agreement. In consideration of the mutual promises herein, Lessor and Lessee agree as follows:
TERMS AND CONDITIONS
ARTICLE 1. DEFINITIONS. The following terms shall have the following meanings and shall be equally applicable to both the singular and the plural forms of the terms defined herein:
"Aeronautics Authority" means the IAA, or any successor thereof, and any other person, entity, governmental department, bureau, commission or agency which from time to time has control over civil aviation or the registration, airworthiness or operation of aircraft in the Republic of Ireland.
"Basic Rent" for the Engine means the rent payable pursuant to Article 3(b) hereof.
"Business Day" means any day other than a Saturday, Sunday or other day on which commercial banking institutions in the city of Krasnoyarsk, Russia, or Los Angeles, California (or in such other city as may be designated by Lessor from time to time pursuant to Article 3(f) hereof) are authorized by law to be closed.
"CAA" means, where applicable, any or all of the Russian Federation Ministry of Transport, the Federal Service for Supervision in the Sphere of Transport, the Federal Traffic Control Service, the Federal Air Transport Agency or any other person having responsibility for the regulation of civil aviation in the Russian Federation and any person, entity, governmental department, body, bureau, commission or agency succeeding to the functions of any thereof.

УСЛОВИЯ
СТАТЬЯ 1. ОПРЕДЕЛЕНИЯ. Следующие термины имеют следующие значения и употребляются как в единственном, так и во множественном числе:
"Авиационный полномочный орган" означает IAA (Авиационная Администрация Ирландии) или любого его правопреемника, а также любое другое лицо, юридическое лицо, правительственное учреждение, бюро, комиссию или агентство, которое может осуществлять контроль над гражданской авиацией, а также регистрацию, свидетельство летной годности и эксплуатацию воздушных судов в Ирландской Республике.
"Базовая арендная плата" за двигатель означает арендную плату, уплачиваемую в соответствии со Статьей 3(b) настоящего Договора.
"Банковский день" означает любой день, за исключением субботы, воскресенья или другого дня, когда коммерческие банковские учреждения в городе Красноярск, Россия, или Лос-Анджелес, Калифорния (или в ином городе, который может быть указан Арендодателем в соответствии со Статьей 3(f) настоящего Договора), закрыты в соответствии с законом.
"Полномочный орган гражданской авиации (ПОГА)" означает, соответственно, любой или все из нижеперечисленных органов: Министерство транспорта Российской Федерации, Федеральную службу надзора в области транспорта, Федеральную службу управления воздушным движением, Федеральное Агентство воздушного транспорта и любое другое лицо, несущее ответственность за регулирование гражданской авиации в Российской Федерации, а также любое лицо, юридическое лицо, правительственное учреждение, орган, бюро, комиссию или агентство, являющееся правопреемником функций любого из вышеперечисленных.
