PARTIES:
(1) AAA, a citizen of the Russian Federation with passport number [●], issued by [●], subdivision code [●], Russian Federation on [●], residing at [●] (the 'Covenantor'); and
(2) BBB, a company incorporated under the laws of the British Virgin Islands, having its registered office at Drake Chambers, Road Town, Tortola, British Virgin Islands ('BBB'),
hereinafter referred to jointly as the 'Parties' and separately as 'Party'.
WHEREAS the Parties have agreed that the Covenantor will undertake that it and its Affiliates (as hereinafter defined) will not be engaged in the Competing Business (as hereinafter defined).
IT IS AGREED as follows:
1. DEFINITIONS
The following terms and expressions have the following meanings:
'Affiliate' means:
(a) in relation to BBB, any subsidiary or parent company of BBB and any subsidiary or parent company of any such person from time to time;
(b) in relation to the Covenantor, any member of his family, any person acting on his instructions or on his behalf or for his benefit and any person in which he has a controlling interest which shall include:
(i) an interest (whether legal or beneficial, direct or indirect) including any ownership, shareholding, participation and/or partnership interest and/or equity interest and/or any right to participate directly or indirectly in any way in any shares or securities conferring in each such case more than 10% in aggregate of the total voting rights of that entity; and/or
(ii) the right or ability (whether pursuant to a contract, understanding or other arrangement whether or not in writing) to (i) direct or cause to be directed more than 10% of the total voting rights of that entity and/or directly or indirectly to exercise a dominant influence over the way in which the votes attaching to more than 10% of the total voting rights of that entity are or are not cast or (ii) the right to appoint a majority of the board (or an equivalent management body) of that entity or to direct or cause to be directed a majority of the votes exercisable at a meeting of such body;
'Business Day' means a day (not being a Saturday or Sunday) when commercial banks are open for general business in each of British Virgin Islands and Russia;
'Competing Business' means any business which involves the production and/or distribution of mineral water and other non-alcoholic beverages;
'LCIA' has the meaning given to it in Clause 8.2 (a); and
Working Hours means 9.30 am to 5.30 pm in the relevant location on a Business Day.
2. NON-COMPETE
2.1 The Covenantor shall not and shall procure that none of its Affiliates shall (whether alone, jointly with another, directly or indirectly) at any time after the date of this Deed carry on or be engaged or interested in any Competing Business in the Russian Federation.
2.2 Neither the Covenantor nor any of its Affiliates shall (whether alone, jointly with another, directly or indirectly), at any time after the date of this Deed, offer to employ or seek to entice away or conclude any contract for services with, any person employed by BBB or any of its Affiliates.
2.3 The Covenantor shall not and shall procure that none of its Affiliates shall (whether alone, jointly with another, directly or indirectly), at any time after the date of this Deed, register use or display any trademark, business name or mark relating to any Competing Business.
2.4 Each of the undertakings in Clauses 2.1 to 2.3 is given to BBB and to each of its Affiliates. The Covenantor acknowledges that each is an entirely independent restriction and is no greater than is reasonably necessary to protect the interests of BBB and its Affiliates. If any such restriction shall be held void or unenforceable but would be valid if deleted in part or reduced in its application, then that restriction shall apply with such modifications as may be necessary to make it valid and effective.
3. AMENDMENTS AND TERMINATION
3.1 Any amendment to, or termination of, this Deed is effective only if made by both Parties in writing.
4. SEVERABILITY
4.1 Should any provision of this Deed be held wholly or in part invalid or unenforceable, then:
(a) neither the legality, validity nor enforceability of the other provisions hereof shall be affected. In particular, if any provision of this Deed is or becomes illegal, invalid or unenforceable under the law of any jurisdiction, the legality, validity and enforceability of such provision under the law of any other jurisdiction shall not be affected or impaired; and
(b) the Parties shall use all reasonable endeavours to replace the illegal, invalid or unenforceable provision by a valid provision, the effect of which comes as close as possible to the intended effect of the aforesaid illegal, invalid or unenforceable provision.
5. ASSIGNMENT
5.1 Neither Party shall (nor shall it purport to) assign, transfer or charge all or any of its rights under this Deed without the prior written consent of the other Party.
6. THIRD PARTY RIGHTS
6.1 Each Affiliate of BBB being the beneficiary of the undertakings or commitments referred to herein shall, in each case, have the right to enforce the relevant terms by reason of the Contracts (Rights of Third Parties) Act 1999.
6.2 Except as provided in Clause 6.1 a person who is not a party to this Deed shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
7. NOTICES
7.1 Any notice in connection with this Deed shall be in writing in English and Russian and delivered by hand, fax, registered post or by courier using an internationally recognised courier company. A notice shall be effective upon receipt and shall be deemed to have been received (a) at the time of delivery, if delivered by hand, registered post or by courier or (b) at the time of transmission if delivered by fax provided that in either case, where delivery occurs outside Working Hours in the place of receipt, notice shall be deemed to have been received at the start of Working Hours on the next following Business Day.

8. APPLICABLE LAW AND JURISDICTION
8.1 The construction, validity and performance of this Deed shall be governed by the laws of England.
8.2 All disputes, controversies or claims arising out of, in relation to, or in connection with this Deed or the validity, interpretation, performance or breach thereof, shall be finally settled by arbitration, to be conducted as set forth below.
(a) One (1) independent arbitrator shall conduct the arbitration as provided by this Clause 8.2 and otherwise in accordance with the rules of the London Court of International Arbitration ('LCIA') as then in effect. Such arbitrator shall be nominated and confirmed by the President of the LCIA in accordance with its rules. The official language of the arbitration shall be English, and the place of arbitration shall be London, England.
(b) The arbitrator shall apply the governing law specified in clause 8.1.
(c) In reaching a decision, the arbitrator shall be bound by the provisions of this Deed. Any monetary award shall be payable in [Roubles] and shall include legal fees and expenses. The award shall state the reasons for the decision.
(d) Such decision and award shall be final, binding, confirmable and enforceable in any court of competent jurisdiction, in accordance with the United Nations Convention on the Recognition and Enforcement of Foreign Arbitral Awards. If the party entitled to the award incurs any further expenses (including legal fees or expenses) in enforcing the award, the party resisting such enforcement shall be required to pay such expenses.
(e) The decision and award of the arbitrator may include an order for specific performance or injunctive relief, and pending the conclusion of proceedings the arbitrator shall also have the power to order interim relief. The Parties hereby acknowledge and agree that the award of monetary damages may not be a satisfactory remedy for a breach of this Deed, and accordingly such specific performance and/or injunctive relief may be a necessary and appropriate remedy.
(f) Each Party shall be entitled to seek injunctive relief from any judicial or administrative authority of competent jurisdiction, to protect its rights pending the resolution of a dispute, controversy or claim by arbitration as provided herein.

ПРИНИМАЯ ВО ВНИМАНИЕ, ЧТО Стороны договорились о том, что Должник обязуется, что ни он, ни его Аффилированные лица (в значении данного термина, приведённом ниже) не будут заниматься Конкурирующей деятельностью (в значении данного термина, приведённом ниже);
СТОРОНЫ ДОГОВОРИЛИСЬ о нижеследующем:
1. ТЕРМИНЫ И ИХ ОПРЕДЕЛЕНИЯ
Нижеперечисленные термины имеют следующие значения:
«Аффилированное лицо» означает:
(a) по отношению к компании «BBB» – любую её дочернюю или материнскую компанию, а также любую дочернюю или материнскую компанию любой такой компании на соответствующий момент времени;
(b) по отношению к Должнику – любого члена его семьи, любое лицо, действующее по его указаниям, от его имени или в его интересах, а также любое юридическое лицо, контролем над которым он обладает, в том числе посредством:
(i) владения долей в таком юридическом лице (будь то законное или бенефициарное, прямое или опосредованное), включая любое право собственности, право владения акциями, долю участия и (или) любое право прямо или опосредованно участвовать любым образом во владении любыми акциями или иными ценными бумагами, держателю которых предоставляется в каждом случае более 10% всех прав голоса по отношению к соответствующему юридическому лицу; и (или)
(ii) обладания правом или возможностью (будь то в соответствии с договором, соглашением или иной договорённостью в письменной или устной форме): (i) контролировать или обеспечивать контроль за использованием более 10% всех прав голоса в отношении такого юридического лица и (или) прямо или опосредованно оказывать доминирующее влияние на результаты голосования с использованием более 10% всех прав голоса в отношении такого юридического лица или (ii) назначать большинство членов совета директоров (или другого аналогичного органа управления) такого юридического лица или контролировать или обеспечивать контроль за подачей большинства голосов, которые могут быть поданы на заседании совета директоров (или такого другого органа);
«Рабочий день» означает день недели (кроме субботы и воскресенья), в который коммерческие банки открыты для совершения операций общего характера на Британских Виргинских островах и в России.
«Конкурирующая деятельность» означает любую деятельность, связанную с производством и (или) распространением минеральной воды и других безалкогольных напитков;
«ЛМАС» имеет значение, приведённое в подпункте (a) пункта 8.2 настоящего Договора; и
«Рабочее время» означает промежуток времени с 9:30 до 17:30 Рабочего дня в соответствующем месте.
2. ОТКАЗ ОТ КОНКУРЕНЦИИ
2.1 После даты заключения настоящего Договора Должник не должен заниматься или интересоваться и обязан обеспечить, чтобы никто из его Аффилированных лиц (ни вместе, ни по отдельности, ни прямо, ни косвенно) также не занимался и не интересовался никакой Конкурирующей деятельностью на территории Российской Федерации.
2.2 После даты заключения настоящего Договора Должник и его Аффилированные лица не должны (ни вместе, ни по отдельности, ни прямо, ни косвенно) предлагать работу по найму никакому лицу, работающему по найму в компании «BBB» или у кого-либо из её Аффилированных лиц, а равно стремиться переменить такое лицо или заключить с ним какой-либо договор оказания услуг.
2.3 После даты заключения настоящего Договора Должник не должен регистрировать, использовать или демонстрировать и обязан обеспечить, чтобы никто из его Аффилированных лиц (ни вместе, ни по отдельности, ни прямо, ни косвенно) также не регистрировал, не использовал и не демонстрировал никакие товарные знаки, фирменные наименования и иные знаки, имеющие отношение к какой-либо Конкурирующей деятельности.
2.4 Каждое из обязательств, перечисленных в пунктах 2.1-2.3 настоящего Договора, даётся в пользу компании «BBB» и каждого из её Аффилированных лиц. Должник признает, что каждое такое обязательство представляет собой полностью независимое ограничение и не превышает меры, обоснованно необходимой для защиты интересов компании «BBB» и её Аффилированных лиц. Если какое-либо подобное ограничение признаётся ничтожным или не подлежащим принудительному приведению в исполнение, но имело бы силу в случае его частичного аннулирования или ограничения сферы его применения, то такое ограничение применяется с такими изменениями, какие могут потребоваться для придания ему силы.
3. ИЗМЕНЕНИЯ И ДОПОЛНЕНИЯ; РАСТОРЖЕНИЕ
3.1 Любое изменение или дополнение к настоящему Договору, а также его расторжение будет иметь силу лишь в том случае, если оно совершено обеими Сторонами в письменной форме.
4. РАЗДЕЛЬНОСТЬ ПОЛОЖЕНИЙ ДОГОВОРА
4.1 В случае признания любого положения настоящего Договора полностью или частично недействительным или не подлежащим принудительному приведению в исполнение:
(a) это никак не влияет на законность, действительность и возможность принудительного приведения в исполнение остальных положений настоящего Договора. В частности, если какое-либо положение настоящего Договора является или становится незаконным, недействительным или не подлежащим принудительному приведению в исполнение в соответствии с законодательством какой-либо юрисдикции, это никак не влияет на законность, действительность и возможность принудительного приведения в исполнение такого положения в соответствии с законодательством любой другой юрисдикции; и
(b) Стороны обязаны приложить все обоснованно необходимые усилия для замены незаконного, недействительного или не подлежащего принудительному приведению в исполнение положения действительным положением, как можно более точно соответствующим по своему предполагаемому эффекту незаконному, недействительному или не подлежащему принудительному приведению в исполнение положению.
5. УСТУПКА
5.1 Ни одна из Сторон не должна (и не должна намереваться) уступать, передавать и обременять никакие из своих прав по настоящему Договору без предварительного письменного согласия другой Стороны.
6. ПРАВА ТРЕТЬИХ ЛИЦ
6.1 Каждое Аффилированное лицо компании «BBB», являющееся бенефициаром по обязательствам, упомянутым в настоящем Договоре, в каждом случае имеет право на принудительное приведение в исполнение соответствующих положений настоящего Договора согласно Закону о договорах (правах третьих лиц) 1999 года.
6.2 С учётом положений статьи 6.1 настоящего Договора лицо, не являющееся Стороной настоящего Договора, не имеет права на принудительное приведение в исполнение никаких положений настоящего Договора согласно Закону о договорах (правах третьих лиц) 1999 года.
7. УВЕДОМЛЕНИЯ
7.1 Любое уведомление в связи с настоящим Договором составляется в письменной форме на английском и русском языках и доставляется лично, по факсу, заказным почтовым отправлением или курьером, представляющим известную международную курьерскую компанию. Уведомление вступает в силу с момента его получения и считается полученным: (a) в случае доставки лично, заказным почтовым отправлением или курьером – в момент доставки или (b) в случае доставки по факсу – в момент завершения передачи при условии, что если доставка производится не в Рабочее время по месту получения, уведомление в любом случае считается полученным в начале Рабочего времени на следующий Рабочий день.

8. РЕГУЛИРУЮЩЕЕ ЗАКОНОДАТЕЛЬСТВО И ПОДСУДНОСТЬ
8.1 Толкование, действительность и выполнение настоящего Договора регулируются законодательством Англии.
8.2 Все споры, разногласия претензии, возникающие из настоящего Договора, в отношении него или в связи с ним, либо по вопросам, касающимся его действительности, толкования, выполнения или нарушения, подлежат окончательному урегулированию посредством проведения арбитражного разбирательства в следующем порядке:
(a) Арбитражное разбирательство проводится 1 (одним) независимым арбитром согласно положениям настоящего пункта 8.2, а в остальном в соответствии с регламентом Лондонского международного арбитражного суда (далее – «ЛМАС»), действующим на тот момент времени. Арбитр назначается и утверждается председателем ЛМАС в соответствии с его регламентом. Официальным языком арбитража является английский, а местом проведения арбитражного разбирательства – г. Лондон (Англия).
(b) Арбитр обязан применять регулирующее законодательство, оговорённое в пункте 8.1 настоящего Договора.
(c) При принятии решения арбитр обязан руководствоваться положениями настоящего Договора. Любое решение об уплате денежной суммы оплачивается в [рублях] и должно включать гонорары юристов и судебные расходы. В решении должны быть изложены мотивы его вынесения.
(d) Арбитражное решение является окончательным и обязательным и может быть подтверждено и приведено в исполнение любым компетентным судом в соответствии с Конвенцией ООН о признании и приведении в исполнение иностранных арбитражных решений. Если Сторона, в пользу которой вынесено решение, в процессе приведения арбитражного решения в исполнение понесла дополнительные расходы (включая гонорары юристов или судебные расходы), то Сторона, противившаяся исполнению, обязана оплатить такие расходы.
(e) Решение арбитра может включать постановление о реальном исполнении или арбитражное предписание, и до завершения разбирательства арбитр также вправе принимать временные обеспечительные меры. Стороны настоящим признают и соглашаются с тем, что присуждение возмещения финансовых убытков может оказаться недостаточным средством правовой защиты при нарушении настоящего Договора и, соответственно, постановление о реальном исполнении и (или) арбитражное предписание может оказаться необходимым и целесообразным средством правовой защиты.
(f) Каждая Сторона имеет право ходатайствовать перед компетентным судебным или административным органом об издании предписаний в целях защиты своих прав на период разрешения спора, разногласия или претензии посредством проведения арбитражного разбирательства в соответствии с положениями настоящего Договора.

Виталий Козлов, судья Арбитражного суда Москвы, объяснил, почему он в полном объеме удовлетворил рекордные для российского рынка юридических услуг требования о возмещении расходов на юристов – 143,12 млн руб. Сравнение расценок привлеченных литигаторов с юрфирмами сопоставимого рейтингового уровня уже нередко встречается в судебных актах такого рода, а вот разбор экономического значения дела для выигравшей стороны – новелла.
История, которая привела к таким большим тратам на юристов, началась в 2006 году, когда ООО "ИКЕА МОС" (Торговля и Недвижимость)", "дочка" IKEA International Group, которая занимается развитием в России торговой сети "Мега", должна была арендовать у ООО "ИСМ" дизельные электростанции для объекта в Санкт-Петербурге. Через два года права арендодателя по этому договору перешли к ООО "Системы автономного энергоснабжения (САЭ), владельцем которого является Константин Пономарев, последовал спор из-за задолженности по арендной плате, а в 2010 году контрагенты заключили мировое соглашение (дело № А40-81806/2010). IKEA заплатила наличными и векселями 25 млрд руб., а ей пообещали не предъявлять никаких требований.
Однако другая компания Пономарева – ООО "Рукон" – сделала это. Еще до заключения мирового соглашения САЭ переуступила "Рукону" свои права требования к IKEA, и тот в июле 2011 года обратился в Арбитражный суд Москвы, где стал требовать взыскать с IKEA 33 млрд руб. – задолженность и проценты за пользование оборудованием в период с 1 января 2009 года, упирая на то, что договор аренды был продлен (дело № А40-77050/2011). Дело прошло все четыре инстанции, и ни одна не нашла оснований для удовлетворения требований "Рукона". Тройка Высшего арбитражного суда отказалась передать дело в надзор в июне 2014 года.
После этого, в июле прошлого года, IKEA обратилась в АСГМ с заявлением о возмещении судебных расходов в размере 143,12 млн руб. Судья Виталий Козлов разрешил вопрос 22 декабря прошлого года, а полный текст определения опубликован в ночь с 15-го на 16 января.
Чужие ставки и экономические риски
Юристы из коллегии адвокатов "Монастырский, Зюба, Степанов и партнеры" оказывали помощь IKEA на основании соглашения, заключенного в марте 2010 года с партнером Александром Зюбой. Цена услуг, согласно материалам дела, складывалась из фактически затраченного адвокатом и его помощниками времени, исходя из следующих почасовых ставок: 350–400 евро – адвоката/партнера, 400 евро – старшего юриста/партнера, 290–330 евро – старшего юриста, 250 евро – юриста, 330 евро – привлеченного адвоката. Компенсировались также затраты, фактически произведенные адвокатом в процессе оказания юридической помощи (расходы на командировки, связь, транспорт, изготовление документов и т. п.), на оплату услуг третьих лиц (нотариусов, переводчиков, экспертов) по просьбе клиента, а также необходимых пошлин и сборов.
"Рукон" в ответ, во-первых, отмечал, что договор с Зюбой IKEA заключила еще до подачи "Руконом" иска в суд. Из этого документа не следует, что клиент поручал адвокату представлять его интересы в арбитражных судах, в нем не было указано место исполнения обязательств, а с выступавшими в тех же процессах адвокатами Юрием Монастырским и Семеном Шевченко вообще не заключалось никаких соглашений, указывали оппоненты IKEA. Во-вторых, они указывали на то обстоятельство, что IKEA не представила выписки со счета коллегии адвокатов, подтверждающие факт выплаты вознаграждения. В-третьих, "Рукон" настаивал, что затребованные расходы чрезмерны – дело "не является сложным для ответчика", кроме того, сумма не соответствует расценкам, указанным в приложении к договору, и фактически совершенным действиям.
Часть этих доводов судья Козлов комментировать не стал, но отметил, что посторонних расходов он не видит. "Из представленных ответчиком отчетов о юридической помощи не усматривается, что адвокат включил в сумму расходов в рамках поручения иные действия, не связанные с представлением интересов клиента в арбитражных судах в рамках конкретного судебного спора, – говорится в определении. – Оказанный объем услуг продиктован количеством требований, представленными доказательствами, ссылками истца на различные обстоятельства, требующие проверки, в том числе и по месту нахождения учредителей ответчика".
А вот довод о чрезмерности Козлов разобрал подробно. Во-первых, судья сопоставил почасовые ставки "Монастырского, Зюбы, Степанова и партнеров" с тарифами сопоставимой по рейтинговым показателями компании. Для сравнения он взял из определения АСГМ по спору ретейлера "Билла" против кипрской компании "Арудж Холдингс Лимитед" расценки коллегии адвокатов "Муранов, Черняков и партнеры" (партнер – $850, старший юрист/адвокат – $750, юрист/адвокат-стажер – $650, младший/юрист (помощник адвоката) – $330) и отметил, что, судя по данным агентств Legal 500 и Chambers & Partners, рейтинг первой коллегии выше, чем второй. Кроме того, отметил Козлов, влияние на стоимость услуг оказало и то, что для взаимодействия с клиентом требовалось привлечение представителей, владеющих английским языком, ведь управление ключевыми аспектами деятельности IKEA осуществляется иностранными гражданами.
Во-вторых, судья оценил экономическое значение дела для IKEA. Он пишет, что заявленная сумма расходов соответствует характеру спора и составляет 0,43 % от суммы иска, а она между тем была "беспрецедентно большой", такой, что в результате удовлетворения иска "Рукона" ответчик мог бы оказаться на грани банкротства и прекратить предпринимательскую деятельность в России. Translation - English A New Approach to Substantiating Legal Costs

Vitaly Kozlov, Judge of the Moscow Commercial Court, explained why he had granted in full the claim for RUR 143.12 mln in legal costs, a record amount for the Russian legal services market. While it has already become a commonplace for such court decisions to compare the fee rates charged by the litigators involved in the proceedings with those of other law firms having a comparable rating, his review of the economic effects of the case on the winner is a novel.
The story that has resulted in those huge legal costs began in 2006, when IKEA MOS (Retail & Property) LLC, a Russian subsidiary of IKEA International Group that is responsible for developing the Mega chain of shopping malls, took on lease from ISM LLC several diesel power plants to supply electricity to their St. Petersburg facilities. Two years later, the lessor’s rights under the lease were assigned to Sistemy Avtonomnogo Elektrosnabzheniya LLC (SAE), a company wholly owned by Konstantin Ponomaryov. Then a dispute occurred between IKEA and SAE over delayed lease payments that eventually resulted in the parties entering into an amicable settlement in 2010 (case No. A40-81806/2010). IKEA paid SAE a total of RUR 25 bln in the form of cash and notes in exchange for a promise not to raise any new claims.
However, new claims against IKEA were raised by another Mr Ponomaryov’s company named Rukon LLC. Before entering into the amicable settlement, SAE had assigned their rights of claim against IKEA under the lease to Rukon, who went to the Moscow Commercial Court in July of 2011 with a claim against IKEA for RUR 33 bln in debt and interest payable for their use of the leased power plants for the period beginning from 1 January 2009, stressing that the lease had been extended (case No. A40-77050/2011). The claim went through all the four court instances with no reasons found for granting it. In June of 2014, the Supreme Commercial Court refused to refer the case for supervisory review.
In July of 2014, IKEA filed with the Moscow Commercial Court a claim for RUR 143.12 mln in legal costs against Rukon. The case was resolved by Judge Vitaly Kozlov on 22 December 2014, and the night of 15 January 2015 saw his ruling published in whole.
Alien Rates and Economic Risks
IKEA was represented by Monastyrsky, Zyuba, Stepanov & Partners (MZS) under an agreement entered into in March of 2010 by and between IKEA and Alexander Zyuba, Partner at MZS. According to the case file, the service charges were calculated based on the time actually spent by the litigators and the following hourly rates: EUR 350 to 400 for lawyers/partners, EUR 400 for senior lawyers/partners, EUR 290 to 330 for senior lawyers, EUR 250 for lawyers, and EUR 330 for invited lawyers. The costs actually incurred by the lawyers in the process of providing legal assistance (such as travel, communication, document execution, etc.) as well as the costs to pay for the services purchased from third parties (such as notaries, translators and experts) upon request of the client and to pay the required duties and charges were also included in the bill.
In their response to the claim for the legal fees, Rukon noted that, first, IKEA had entered into the agreement with Mr Zyuba before Rukon filed their claim and that agreement did not show that IKEA instructed him to represent them in any proceedings before commercial courts, nor did it state where the obligations were to be performed, and IKEA had not entered into any agreements with Yury Monastyrsky and Semyon Shevchenko, who also acted for them in the same proceedings. Second, Rukon mentioned that IKEA presented no statement of the law firm’s bank account evidencing payment of the legal fees. Third, Rukon insisted that the costs claimed were excessive since the litigation “was not difficult for the respondent” and the total amount claimed matched neither the rates stated in the schedules of the agreement nor the actions actually taken.
While Judge Kozlov refused to comment on some of those arguments, he noted he did not see any unauthorised costs. “The legal assistance reports submitted by the respondent do not show the lawyer has included in the total amount of his costs incurred as per the instructions given to him any actions not related to his actions taken to represent the client in the proceedings before commercial courts,” he concluded in his ruling. “The scope of the services provided was dictated by the number of the claims raised, the evidence presented and the claimant’s reference to various circumstances that required verification at the location of the respondent’s founders and elsewhere.”
At the same time, Judge Kozlov focused on Rukon’s allegation that the costs claimed were excessive. First of all, he compared the hourly rates charged by MZS with those of a law firm having a comparable rating, Muranov, Chernyakov & Partners (MCP). Those rates were stated in the ruling handed out by the Moscow Commercial Court on a claim raised by the supermarket chain Billa against Cyprus-based Arooj Holdings Limited ($850 for partners, $750 for senior lawyers/lawyers, $650 for lawyers/trainee lawyers, and $330 for junior associates/legal assistants. Judge Kozlov noted that, according to Legal 500 and Chambers & Partners, MZS rank higher than MCP. In addition, he noted that what also had an impact on the service charges was the fact that MZS had to engage English-speaking lawyers to communicate with IKEA as their business operations in Russia were essentially managed by foreigners.
Second, Judge Kozlov assessed the economic effects of the case on IKEA. He found the legal costs claimed to correspond to the nature of the dispute and to account for 0.43% of the total amount claimed by the claimant, which was so “unprecedentedly huge” that the respondent would find themselves on the verge of bankruptcy and had to discontinue their business in Russia if Rukon’s claims were satisfied. Furthermore, according to Judge Kozlov, this case was of critical importance to the respondent, given the fact that it emerged after the amicable settlement had been reached and the fact that the existing case law is rather contradictory as to the possibility to amicably settle disputes and an “imperative interpretation of the rules of private law set out in the Civil Code” is very widespread. Therefore, he concluded the situation required the respondent to apply remedies that were commensurate with the threat, including hiring costly lawyers.
Third, Judge Kozlov stated that SAE paid their lawyers much more than IKEA did in a similar case. “The costs incurred by IKEA in relation to their three-year litigation in this case accounted for 23% of the amount paid by SAE [to the law firm Justina in a case that had ended in an amicable settlement] for one year of legal services,” he noted in his ruling. Thus, he concluded IKEA as the respondent had the right to hire lawyers charging fees at least not lower than those charged by the lawyers hired by the claimant.
