1: O "real estate" é só se for de imóvel, que é o mais comum para este tipo de contrato.
2: "Private Instrument" não é tão comum em inglês quanto o "Instrumento Particular" em português. Trata-se de um "enfeite" do português que os falantes de inglês não costumam adotar. Eu diria somente "purchase and sale agreement", deixando o instrumento particular de lado.
