I understand what it means, it's just to find the "right term"
if XXX cannot meet its commitments for more than 3 months, the company can "cancel/squash/make nul and void" the convention?
and then XXX has to repay everything

agree writeaway : there is absolutely no way at all that Convention is convention in English. most definitely an agreement/contract. a faux ami if there ever was one. not so sure it's rescinded here-looks like it's annulled.Unless Canadian French is different.

résoudre un contrat = rescind a contract

Dissoudre rétroactivement le rapport d'obligation. Le contrat cesse non seulement de produire des effets, mais les effets qu'il a produits sont mis à néant et les choses doivent être rétablies dans l'état où elles se trouvaient avant sa conclusion.
