No se si es lo mismo en ambos casos y dudo de las posibles opciones de: "indemnizar" o "eximir a alguien de responsabilidades"....

No se si es lo mismo en ambos casos y dudo de las posibles opciones de: "indemnizar" o "eximir a alguien de responsabilidades"....

Como ya indicaron anteriormente, la idea es la de "mantener indemne" y, llegado el caso y solo si corresponde, deberá indemnizar a XXX por los motivos que menciona la cláusula que indicaste en tu posteo. La idea de agregar "en su caso" o "si corresponde" surge porque no siempre va a tener que indemnizar, solo en ciertos casos.
Entonces propongo:
"...mantener indemne y, en su caso, indemnizar a XXX por..."
o
"... mantener indemne y, si corresponde, indemnizar a XXX por..."

: La idea es correcta (indemnizar), pero la frase en cuestión es frase legal, como “to my best knowledge and belief”. Tales frases no tienen por fuerza un equivalente. Yo diría simplemente “indemnizar” y punto.

: As Ken Adams notes in the reference you posted, there are all sorts of problems with the phrase in English too, besides being non-standard. It's safer to translate it "as is". I disagree with Mario here: we're not contract drafters, we're translators.

: Puesto que el contexto indica costas legales y de otro tipo, gastos, responsabilidad civil y demás, el concepto es indemnizar o resarcir, no exonerar. Se exonera de responsabilidades, no de costos o gastos.
