Block voting instructions and forms of proxy shall be valid for so long as the
relevant Notes shall be duly registered in the name(s) of the Holder(s)
certified in the block voting instruction or, in the case of a form of proxy, in the
name of the appointor or, in the case of a form of sub-proxy, in the name of a
Clearing System or a Holder on behalf of a Clearing System or its nominee
but not otherwise and notwithstanding any other provision of this Schedule
(other than sub-paragraph 1(b) above).
