English to Russian Other Investment / Securities

Контекст: In the event of a Disposition or Deemed Liquidity Event of a Portfolio Company Investment by the Company, the Manager shall be entitled to receive a portion of the proceeds from such disposition (or deemed disposition in the event of a Deemed Liquidity Event) as calculated and determined as set forth on Exhibit D hereto (the “Promote”), if any, after repayment (or deemed repayment in the case of a Deemed Liquidity Event) of the amount of any outstanding principal and/or interest on Loans associated with such Portfolio Company Investment subject to mandatory repayment in accordance with the Loan Agreement. Within five (5) business days after a Disposition or Deemed Liquidity Event of a Portfolio Company Investment by the Company, the Company shall provide the Manager with a written notice setting forth the calculation and total amount of the Promote (such written notice, the “Promote Notice”).
