This is the full passage from the Articles of Association of a company:

A holder of not less than 15% of the issued ordinary shares in the Company’s capital shall have such number of votes as exceeds by one vote the number of votes required to be cast whether on a show of hands or a poll or a resolution in writing.

The passage is followed by a number of special resolutions at which these conditions apply.

I'm not sure about the meaning of this phrase. Does it mean the holder of at least 15% of the issued ordinary shares in the company has on these special occasions more than 50% of the votes or just one more than 15%?

die Anzahl der erforderlichen Mindeststimmen plus 1 Stimme

Das heisst, das er mit 15% der begebenen Stammaktien die mindestens erforderliche Anzahl der Stimmen bei einer Abstimmung plus 1 Stimme hat (Sperrminorität), er kann also nicht durch Nichtabstimmung ausgebremst werden.
Das heisst natürlich nicht, dass er damit bereits eine Stimmenmehrheit hat (die Regelung gilt für weitere Anteilsverhältnisse ja ebenfalls).
