It would be good to know the context; i.e., exactly what tangible or intangible object is the subject of the contract.
According to Dietl/Lorenz Dictionary of Commercial, Legal, and Political Terms, Nutzung is use, utilization and Nutzungsbefugnis is the right to use, as in copyrights, license, etc. Überlassung is leaving, giving up, abandonment, relinquishment; Überlassung zur Nutzung is permitting the use (of); zeitliche Überlassung is the temporary granting of rights.

Usage authorization and limitation contract

It looks as if one of the parties to the contract is going to become an "authorized user" of a trademark or other intangible, as Dierk said. At the same time, aUeberfassung implies that a limitation on the usage by one or both parties will be involved. The suggestion takes these into account, to the degree of specificness that the source does.
