Express right to terminate
A contract may be terminated if an express right to terminate for breach is
given by the contract. Whether the contract gives such a right depends upon
the construction of the contract; in other words, has a breach occurred and
has the innocent party effectively exercised its right to terminate (for example,
by complying with a notice requirement)? Courts generalfy construe an
express right to terminate for the other party's breach strictly.
