Run-Off Insurance
Be It Resolved, to purchase, prior to the Closing, tail insurance coverage, which shall provide the Company's directors and officers (including past directors) with coverage of directors' and officers’ liability prior to and including the date of Closing (including the transactions contemplated by the Agreement) for a term of seven years following the date of Closing in an amount equal at least to the current coverage amount and that shall have other terms not materially less favorable to the insured persons than the directors’ and officers’ liability insurance coverage maintained by the Company as of the date hereof.
