Discussion

Evgeny Artemov (X) Jan 17, 2015:
I don't block anyone I ignore bottom feeding free loaders who engage to translate subjects they have no idea of and pepper this space with questions.
Evgeny Artemov (X) Jan 16, 2015:
Oh. I missed it somehow. Right. I blacklisted a few askers who always know better. ;-)
The Misha Jan 16, 2015:
No soup for you, Sam! Indeed, no good deed goes unpunished. One can't keep but wonder why it is that we've had a dearth of competent answerers here lately...
Sam Pinson Jan 16, 2015:
1. The asker yelled at me in the "Notes to answerer" field.
2. I don't.
Evgeny Artemov (X) Jan 16, 2015:
@Sam, Two questions.
1. Who yelled 'NO!' at you?
2. Exactly how do you know the предприятие in question is not a ФГУП or a МУП and its положение is not filed?
Sam Pinson Jan 16, 2015:
I'm not sure why you yelled at me ("NO!") in response to my answer and I don't care to get into an argument with you about the merits of my proposal. I just wanted to be sure that you understand that corporate bylaws are generally for internal consumption. They are not filed with any government body (http://smallbusiness.findlaw.com/incorporation-and-legal-str... "Corporate and organizational bylaws regulate only the organization to which they apply and are generally concerned with the operation of the organization, setting out the form, manner or procedure in which a company or organisation should be run." (http://en.wikipedia.org/wiki/By-law).

Seconded A younger grump
Evgeny Artemov (X) Jan 14, 2015:
Ditto The Misha got it right.
Yours,
Old Grump
The Misha Jan 14, 2015:
Do yourself a favor and post more context Are those indeed corporate bylaws filed with the government for registration purposes? Is it an internal document? What is the purpose of your translation - internal, legal document to be used in litigation or arbitration, etc? These are all the things one needs to know to determine what to call this.

You will also elicit a much more enthusiastic response from experienced older grumps such as your truly here if you learn to say please and thank you. Try it, it's not so hard.

disagree The Misha : Ahem... this is ungrammatical and may well be a mistranslation, seeing that the word "statute" is generally reserved for Ustav

Articles of Association

The Articles of Association is a document that contains the purpose of the company as well as the duties and responsibilities of its members defined and recorded clearly. It is an important document which needs to be filed with the Registrar of companies.
The Articles of Association also lays out how tasks are to be accomplished within the organization, including the process for appointing directors and how financial records will be handled.
Such articles are in the nature of a partnership agreement, and commonly specify the form of organization, amount of capital, kind of business to be pursued, location of the company, etc

Peer comment(s):

disagree The Misha : You can't know that with any certainty - let alone 100% certainty - without knowing what's in the document. It may be a purely internal document akin to rules and regulations
