Spanish term

promesa de permuta mixta futura

Spanish to English Law/Patents Law: Contract(s) Protocolo de contrato marco
I have this description in correspondence about the breach of a non-financial contract "Protocolo de contrato marco de promesa obligacional y de promesa de permuta mixta futura" and can't find a reasonable translation of the concept "promesa permuta mixta future".

No other clues I'm afraid.

Helena Chavarria Jun 24, 2014:
I used to know a person who owned an old house in a Spanish town. He gave the building and its land to a builder, who built a block containing four flats. The original owner received one of the flats in exchange for the old house. That was when I learnt the word 'permuta'.

With Phil if it's not financial it's not a 'swat', what is it then??

Can you give us a bit more context, and tell us what the contract is? Is it something to do with real estate?

future mixed-swap option

Refer to Helena C's ref. material.

Promesa > literally a promise, but also an undertaking or covenant. In this context, speculatively a unilaterally binding option.

promise of future mixed swap

I think "promise" is self explanatory. "Future" would seem to be as well.

I think what your looking for is "mixed swap," a subset of security-based swap s that are based on the value of 1 or more interest or other rates, currencies, commodities, instruments of indebtedness, indices, quantitative measures, other financial or economic interest or property of any kind.

You can see this description on page 10 (of the PDF) of the first web reference, footnote 10.

It follows that they would be a promise to perform a mixed swap in the future.

And just to note:

This is not an option. Options are just that, an option to buy or sell something. It is not an agreement, which is binding.

Explanation of why I use PROMISE:

Definition of legal term PROMISE: The manifestation of an intention to act or refrain from acting in a specified manner, conveyed in sucha a way that another is justified in understanding that a commitment has been made. BINDING PROMISE: a binding promise -one that the law will enforce- is the essence of a contract (Black´s)

Explanation of BARTER/BARTERING:

Barter is the trading of goods or services directly for other goods or services, without using money or any other similar unit of account or medium of exchange. (http://definitions.uslegal.com/b/barter/)

While most people barter without an agreement, this can backfire down the line. On the one hand, like every contract, having the exchange on paper, signed by the parties involved, means everyone has to keep up their end of the bargain. (https://www.rocketlawyer.com/document/barter-agreement.rl)

PERMUTA: Permuta
(...) (Diccionario jurídico Ossorio)

neutral AllegroTrans : English contractual language does not use "promise" in this way

I´ve added further information to support the selection of the term PROMISE.
agree Mariano Saab : Si la promesa opera a futuro, ¿no sería conveniente decir "Promise of mixed barter agreement"?

Suena razonable! Miraría en el resto del original para ver por qué especificaron "futura" en español.

Definition of ‘Mixed Swap’
The CEA and Exchange Act define “mixed swap” as an agreement, contract or transaction that is a security-based swap and that is also based on either: (1) an underlying reference other than a single security or narrow-based security index (e.g., an interest rate or other monetary rate, currency, commodity, etc.) or (2) the occurrence of an event associated with a potential financial, economic or commercial consequence (other than an event relating to a single issuer of a security or the issuers of securities in a narrow-based security index). In the preamble to the Final Rules, the Commissions state that the product category of “mixed swaps” is intended to be narrow in scope and would include, for example, a Title VII instrument in which the underlying references are the value of corporate stock and the price of a commodity. Mixed swaps will be subject to regulation by both the CFTC and SEC, although the joint regulatory framework for bilateral uncleared mixed swaps will be different from the framework for all other mixed swaps.
