PROCEEDINGS OF BOARD

The Board may, subject to the provisions of the Act, and these Articles, delegate any of their powers to a committee consisting of such member or members of their body or other Person as they think fit and may from time to time revoke such committee so formed. Any committee so formed in exercise of the powers so delegated will conform to any regulations that may from time to time be imposed by the Board. The meeting and **proceedings** of any such committee so formed shall be governed by the provisions herein contained for regulating the meeting and **proceedings** of the Directors so far as the same as applicable thereto and are not superseded by the regulations made by the Board under this Article. The Investor shall have the right to have its nominee as a member of any such committee.
