Afin de faciliter la compréhension de la présente convention, il est préalablement exposé ce qui suit :
• Les fondateurs ont décidé d’exploiter en commun une entreprise offrant les prestations suivantes :
a. Audit of fund managers regulated by FINMA :
- Ordinary audit according to the Swiss Code of Obligations on the annual financial statements and the existence of a system of internal control.
- Prudential audit according to FINMA requirements
b. Audit of asset managers not regulated by FINMA
c. Audit of small companies (e.g. Geneva based service companies related to a hedge fund)
d. Other non-audit related services (e.g. internal audit, FINMA applications for clients)
• Pour ce faire, ils ont décidé de constituer une société anonyme « ZZZ » [ci-après « ZZZ »] au capital-actions composé de 100 actions nominatives de CHF 1'400 chacune, réparties comme suit :

• Afin d’éviter la dispersion des actions et de maintenir une unité dans le capital, les fondateurs ont décidé de s’accorder un droit d’emption-préemption réciproque sur les actions de la société qu’ils possèdent ou posséderont.
• En outre, les fondateurs ont décidé de fixer certains éléments quant à l’organisation de ZZZ afin d’assurer un bon déroulement des affaires.
Le but de la présente convention est donc de définir les modalités d’exercice du droit d’emption-préemption que les fondateurs se sont accordés réciproquement d’une part et de fixer certains éléments d’organisation interne d’autre part.
Ceci exposé, il est convenu que :
Article 1
Chacun des fondateurs accorde à l’autre un droit d’emption-préemption portant sur la totalité de ses actions de « ZZZ ».
Toute vente par l’une des parties, de tout ou partie de ses actions ouvre en faveur de l’autre un droit de préemption sur les actions mises en vente. La mise en gage des actions est assimilée à une vente.
La cessation d’activité, la radiation au registre du commerce, la mise en faillite de XXX ou YYY ou encore le décès, l’interdiction ou la disparition de Monsieur Smith ou Monsieur Doe et, d’une manière générale, la fin de leur activité dans l’exploitation du ZZZ, ouvre sur la totalité des actions leur appartenant un droit d’emption en faveur des autres parties, proportionnellement à leur participation.
Article 2
Celle des parties qui désire vendre tout ou partie de ses actions doit les offrir aux autres par lettre recommandée. Les autres parties disposent alors d’un délai de trois mois pour faire usage de leur droit de préemption. L’acceptation doit être communiquée au vendeur par écrit.
Par ailleurs, avant l’échéance de la période de blocage (cf. article 6), le droit d’emption s’ouvre le jour de la radiation au registre du commerce, de la mise en faillite, du décès, de l’interdiction ou de la constatation officielle de la disparition d’une des fondateurs. Les bénéficiaires du droit d’emption disposent d’un délai de trois mois pour communiquer par écrit leur acceptation à l’autre partie ou à ses ayants droit.
Article 3
Les actions acquises par l’exercice du droit d’emption-préemption devront être payées dans un délai maximum d’un an après la date d’acceptation. Les sommes dues portent intérêt au taux de 3 % l’an, dès la date de l’acceptation.
Article 4
Le prix de vente des actions sera déterminé chaque année à l’occasion de l’Assemblée générale des actionnaires. Il tiendra compte des réserves latentes ainsi que de la charge fiscale latente sur ces réserves, mais ne comprendra aucune valeur de goodwill.
Le prix ainsi déterminé fera l’objet d’un procès-verbal signé par les parties et qui fera loi pour toutes les transactions qui auraient lieu jusqu’à l’Assemblée générale ordinaire suivante, ceci sous réserve d’événements exceptionnels et importants qui se seraient produits depuis le bouclement du dernier bilan.
Il pourra cependant être dérogé à ce prix moyennant accord écrit entre les parties ou, dès le 1er janvier 2015, si la partie désirant vendre communique aux autres parties une offre ferme d’un acheteur pour un prix supérieur à celui définit au premier alinéa. Dans ce cas, l’offre ferme devra également porter sur un engagement ferme d’achat des actions détenues par les autres parties si ces dernières en font la demande par écrit.
Article 5
Durant la présente convention, chacune des parties s’interdit de faire concurrence à ZZZ en s’intéressant, directement ou indirectement, à une entreprise de la même branche, pour son propre compte ou pour le compte de tiers offrant des services de révision en tant que société d’audit agréée par la FINMA en Suisse.
En cas de dénonciation de la présente convention, chaque partie pourra reprendre à son compte, sans indemnité, les clients qu’il aura apportés. Une liste sera établie chaque année à cet effet.
Article 6
La présente convention est conclue pour une durée ferme de 3 ans, prenant fin le 31 décembre 2020 (période de blocage).
Celle des parties qui entend mettre fin à la convention devra en aviser l’autre par lettre recommandée expédiée un an au moins avant cette échéance. Si aucune dénonciation n’intervient la convention est réputée reconduite pour une année, avec le même délai de dénonciation et ainsi de suite d’année en année. Il est cependant précisé que les dispositions relatives au droit d’emption ouvert par la dénonciation de la présente convention s’appliquent même après ladite dénonciation.
Article 7
Le Conseil d’administration est composé de Monsieur Smith et Monsieur Doe représentant respectivement XXX et la YYY. De manière générale, chaque fondateur a un droit à être représenté au Conseil d’administration. La composition du Conseil d’administration doit dans tous les cas respecter les dispositions de la loi suisse sur la surveillance de la révision (LSR).
Article 8
La signature sociale est collective à deux avec un représentant de XXX et de YYY à l’exception des rapports de révision.
Les rapports de révision sont signés collectivement à deux par des personnes possédant les agréments nécessaires requis par la loi suisse.
Article 9
Les parties s’engagent à prendre toutes les mesures nécessaires afin de mettre en œuvre l’accord de principes annexé.
Article 10
Pour tout litige ou contestation portant sur l’interprétation ou l’application de la présente convention, les parties font élection de domicile, avec attribution de for, auprès des Tribunaux du canton de Genève.

Translation - English Shareholders’ Agreement
between
XXX [hereinafter referred to as XXX]

[hereinafter jointly referred to as ‘The Founders’]
In order to facilitate understanding of this Agreement, the undersigned recite as follows:
• The Founders have decided to jointly run a company offering the following services:
a. Audit of fund managers regulated by FINMA :
- Ordinary audit according to the Swiss Code of Obligations on the annual financial statements and the existence of a system of internal control.
- Prudential audit according to FINMA requirements
b. Audit of asset managers not regulated by FINMA
c. Audit of small companies (e.g. Geneva based service companies related to a hedge fund)
d. Other non-audit related services (e.g. internal audit, FINMA applications for clients)
• In order to achieve this, they have decided to incorporate a public limited company ‘ZZZ [hereinafter referred to as ‘ZZZ’] with a share capital consisting of 100 registered shares, each with a nominal value of CHF 1,400, distributed as follows:

• In order to avoid the dispersion of the shares and to ensure a measure of unity in the share capital, The Founders have decided to grant each other a mutual right of purchase/pre-emption in respect of the shares in the company they own or will own.
• In addition, The Founders have decided to stipulate certain aspects regarding the organization of ZZZ in order to ensure the business runs smoothly.
Therefore, the purpose of this Agreement is to define the way in which the right of purchase/pre-emption that The Founders have granted each other is exercised and, furthermore, to stipulate certain aspects of internal organization.
Now, therefore, the Parties agree as follows:
Article 1
Each of The Founders shall grant each other a right of purchase/pre-emption in respect of all of their shares in ‘ZZZ’.
Any sale by one of the Parties of all or some of their shares shall trigger a right of pre-emption in respect of the shares put up for sale. Pledging shares is tantamount to a sale.
The cessation of activities, deletion in the commercial registry, the bankruptcy of XXX or YYY or the death, prohibition or disappearance of Mister Smith or Mister Doe and, more generally, the end of their role in running ZZZ shall trigger a right of purchase in respect of all of the shares owned by them in favour of the other parties, in proportion to their participation.
Article 2
Any Party wishing to sell all or some of its shares must offer them to the other Parties by means of a registered letter. The other Parties will then have a period of three months to decide whether to exercise their right of pre-emption. Acceptance of the offer must be communicated to the seller in writing.
Furthermore, before expiry of the blocking period (see article 6), the right of pre-emption shall be triggered on the day the entry in the commercial register is deleted, bankruptcy is declared or on the date of the death, prohibition or the official declaration of the disappearance of one of The Founders. Those entitled to exercise the right of purchase have a period of three months in which to communicate their acceptance in writing to the other Party or its assignees.
Article 3
The shares acquired by exercising the right of purchase/pre-emption must be paid for within a maximum period of one year following the date of acceptance. The sums due will carry an interest rate of 3% p.a. from the date of acceptance.
Article 4
The selling price of the shares shall be determined each year at the General Shareholders’ Meeting. It shall take into account the hidden reserves and the hidden tax burden on these reserves, but it shall not include any goodwill value.
The price determined in this manner shall be recorded in minutes signed by the Parties, which shall have the force of a law for all the transactions that will take place until the next Ordinary Shareholders’ Meeting, subject to any extraordinary and important events that occur after the closing of the last balance sheet.
However, this price stipulation may be dispensed with by means of a written agreement between the Parties or, from 1 January 2015, if the Party wishing to sell informs the other parties about a firm offer made by a buyer at a price that is higher than the price indicated in the first paragraph. In this case, the firm offer must also include a firm undertaking to purchase the shares held by the other Parties if the latter issue a written request in this respect.
Article 5
During the term of this Agreement, each Party shall abstain from competing with ZZZ by expressing an interest, either directly or indirectly, in a company in the same sector, for its own account or for the account of third parties, by offering audit services in its capacity as an audit company accredited by the FINMA in Switzerland.
If this Agreement is terminated, each Party shall be entitled to recover, for its own benefit, any customers it may have brought with it, without compensation. To this end, a list shall be drawn up every year.
Article 6
This Agreement has been concluded for a fixed period of three years, ending on 31 December 2020 (blocking period).
Any Party that intends to terminate the Agreement must notify the other Party by means of a registered letter sent at least one year before this period expires. If no notice of termination is forthcoming, the Agreement shall be deemed to have been extended by one year, with the same period of notice and so on each year thereafter. However, it should be noted that the provisions concerning the right of pre-emption triggered by a notice to terminate this Agreement shall apply even after said notice of termination.
Article 7
The Board of Directors is made up of Mister Smith and Mister Doe representing XXX and YYY respectively. As a general rule, each Founder has a right to be represented on the Board of Directors. The composition of the Board of Directors must, in all cases, abide by the provisions of the Swiss law on the supervision of audits (LSR).
Article 8
The authorized signature consists of a joint signature by two authorized members, one representative from XXX and one from YYY, except for audit reports.
Audits reports shall be signed jointly by two persons properly accredited as required under Swiss law.
Article 9
The Parties undertake to take all necessary measures in order to implement the Agreement in Principle attached hereto.
Article 10
In case of any disputes or controversies concerning the interpretation or application of this Agreement, the Parties have indicated the Courts in the Canton of Geneva, and submit to their jurisdiction, as the address for service of process.
