Translation - English Upon satisfaction of all Conditions under Clause X.X in accordance with this Agreement hereunder (unless any Condition is waived pursuant to Clause X.X), AAA shall immediately notify BBB in writing of the same and provide BBB in a timely manner with all relevant written materials and other supplemental materials reasonably required by BBB so as to prove that all such Conditions have been satisfied in accordance with this Agreement (unless any Condition is waived pursuant to Clause X.X).
Completion of the transactions contemplated by this Agreement (the Completion) shall take place on the date falling on the N Business Day after the date of BBB’ receipt of the written notice and written materials (including supplemental materials) issued by AAA in accordance with Clause X.X (or at such other time as the Parties may agree) (the Completion Date), provided that all the Conditions are still satisfied on the Completion Date (unless any Condition is waived in accordance with Clause X.X) and AAA has not breached any of its undertakings prior to the Completion or Warranties made by it.

The written meeting notice shall set out the date, time, venue and agenda of the relevant meeting. Any additional matter proposed by a director to be discussed at a board meeting must be submitted to the chairman in writing at least N Business Days prior to the expected time of the meeting, and the chairman will forward the matter to all directors. Unless otherwise agreed by all directors, no resolution may be adopted at a board meeting on any matter that is not listed in the agenda. If the chairman fails to perform the obligations under this clause, such obligations of the chairman may be performed by another director on his/her behalf;
