and purpose of meeting and do hereby adopt and approve the following resolutions and, to the extent deemed necessary, hereby ratify and confirm all prior lawful acts of the Members and
Managers of the Company.

RESOLVED, that all lawful actions of the Members and/or Managers of the Company, as the case may be, taken in such capacities since the formation of the Company, are hereby
affirmed, ratified, approved and adopted as the lawful actions of such Members and/or Managers of the Company;
