Source text - English Sözleşmeyi inceledik.
Bir önceki sözleşmenin tüm maddelerine ortaklaşa karar verip imzalamıştık. Yeni sözleşmenin bazı maddelerinde çekincelerimiz var. Bu çekincelerimiz ve nedenlerini aşağıda açıkladık. Bazı önerilerimiz de var.
1- Tüm sözleşme içerisinde X & Y isimleri geçmelidir.
2- Madde2: sözleşme eklerinde Z ve permit of the money transfer belgeleri ekte olmalı diye düşünüyoruz.
3- Madde3.6: Bu madde bizim için önemli. Çünkü tüm fiyatlandırmalarımızı bu maddedeki imalatları esas alarak yaptık. Bu nedenle eski sözleşmede kaldırılan bu maddenin yeni sözleşmede de yer alması gerekmektedir.
4- Madde4.3: Bu maddeye daha önceki sözleşmede yer almayan '' mimari planlar, düzen ve dekorasyon planları otelcinin önceden onayına tabidir.'' maddesi eklenmiştir. Bu maddeye itirazımız yok. Ancak bu maddeye aşağıdaki fıkranında eklenmesi doğru olur diye düşünüyoruz.
''-Eğer otelci verilen planlarda değişiklik isterse bu değişiklik malzeme, sistem, uygulamalarda maliyet artışına ve büyük ölçekli proje revizyonuna sebeb olursa bu, sözleşmenin 6.2 maddesi çerçevesinde değerlendirilir''
5- Madde7.2: Bu maddenin son 2 paragrafı yeni sözleşmede çıkarılmış. Bu son 2 parağraf yüklenicinin ( bizim ) haklarımızı anlatan paragraflar idi. Bildiğimiz gibi sözleşmeler her iki tarafında haklarını korumalıdır. Bu nedenle yüklenicinin ( bizim ) haklarımızı koruyan benzer maddeler sözleşmeye eklenmelidir.
6- Madde9,2: Bu maddenin 3. paragrafında'' garanti kapsamında herhangi bir cihaz arızalanması ve ilgili cihazların veya yedek parça temininin üretici tarafından 1 aydan fazla sürmesi durumunda bu hal geçersiz kalır.Yüklenici bu gibi durumları üreticiden aldığı yazı ile işveren' e ıspatlamak zorundadır.'' demekteydi. Bu bölüm yeni sözleşmeden çıkarılmış; özellikle yurtdışından gelecek malzemelerin değiştirilmesinde bu 1 aylık süre yetmeyebilir düşüncesindeyiz.
7- Madde 12,3: Son satırda '' Bu mimari konseptin işveren sorumluluğunda olduğu anlaşılmaktadır. '' cümlesi yeni sözleşmede yok. Bu maddeyi biz mimari projenin sizin tarafınızdan yapılması sebebiyle yazmıştık. Bu nedenle bizim sorumluluk kapsamımız dışiında bırakmış idik.
8- Madde 18: Bu maddenin son paragrafı tamamen yeni sözleşmede çıkarılmış. Bu son paragraf yüklenicinin ( bizim ) fesih haklarını yazıyordu. Yine sözleşmenin her iki tarafında haklarının koruması gerekir düşüncesini taşıyoruz..Daha önceki sözleşmede yazılanlarında makul olduğunu düşünüyoruz. Yeni sözleşmeye eklenmelidir kanaatındayız.
9- Bizce sözleşmenin herhangi bir maddesinde kreditör bankanın isminin ve bankanın ödeme şeklinin yazılmasıda iyi olur.
10-İstemiş olduğun Z listesi için çalışıyoruz.Ancak bu liste için Z' nin bir formatı var mı? Çünkü bizim düşündüğümüz çalışma çok geniş kapsamlı. Tam olarak Z listesinin kapsamı nedir?
Sözleşmenin diğer maddeleri ile ilgili herhangi bir itirazımız yoktur..Artık biran önce sözleşmeyi imzalamak istiyoruz. Ayrıca CTC ve Banka sözleşmesinin son durumu ile ilgili bilgi verebilirsen çok mutlu olurum.

Translation - Turkish We reviewed the contract. We signed the previous contract by mutually deciding on all its clauses. We have some drawbacks concerning several clauses of the new contract. We explained these drawbacks and their reasons below. We also have some suggestions.
1- The entirety of the contract should include the names X & Y.
2 – Clause 2: We think that Z and permit of the money transfer documents should be included under annexes.
3- Clause 3.6: This clause is important for us since all our pricings were arranged based on the productions in this clause. Therefore, this clause removed in the old contract should be included in the new one.
4- Clause 4.3: The phrase “architectural plans, organisation and decoration plans require prior approval of the hotelier.”, which was not included in the former contract, was added to the clause. We have no objection to this additional phrase. However, we believe that it would be better if the paragraph below will be added to the clause:
“If the hotelier wants changes in the provided plans and if these changes cause increase of costs regarding supplies, system and applications and grand scale project revision, this shall be subject to clause 6.2 of the contract.”
5- Clause 7.2: The last two paragraphs of this clause are removed in the new contract. These paragraphs were about contractor's (our) rights. As we know, contracts shall protect the rights of both parties. Therefore, similar clauses protecting the contractor’s (our) rights to the contract.
6-Clause 9.2: Paragraph 3 of this clause stated that: “In case a device is malfunctioned, or the producer cannot provide the spare parts for more than a month, this situation shall be invalid. The contractor must prove such situations to the employer through a letter provided by the contractor.” This section was removed from the new contract; we believe that this one-month period may not be sufficient, especially when changing the supplies received from overseas.
7 – Clause 12.3: The last phrase: “The employer is liable for this architectural concept.” is not included in the new contract. We wrote this clause as you make this architectural project. For this very reason, we did not undertake any liability concerning the architectural project in the contract.
8 – Clause 18: The last paragraph of this clause is removed completely in the new contract. This last paragraph was about the contractor’s (our) rights for termination of contract. Again, we believe that the contract should protect rights of both parties. We believe that the relevant clause in the former contract was reasonable. We believe that it should be added to the new contract as well.
9- In our opinion, the name of the creditor bank and the payment method of the bank should be included in a clause of the contract.
10- We are working for the Z list you requested. But is there a format of Z for this list? Because the scope of the work we plan is quite big. What is the scope of this Z list exactly?
We do not have any objections regarding other clauses of the contract. We want to sign the contract as soon as possible. Moreover, I would be very glad if you could inform me about the latest status of CTC and Bank contracts.
