Le Ministre délégué chargé de l’économie sociale et solidaire de la République Française,
et
le Ministre … de la République XXX,
conviennent de ce qui suit :
Les gouvernements de la République Française et de la République XXX, attachés aux principes, qu’ils considèrent particulièrement nécessaires à notre temps, de solidarité et d’innovation sociale, entendent réaffirmer leur volonté d’approfondir leur coopération pour reconnaitre et promouvoir l'économie sociale et solidaire.
Ils souhaitent s’engager dans la promotion des meilleures pratiques en ce domaine, en intensifiant les échanges d’expérience des différents acteurs au niveau de l’Etat, des collectivités locales, des entreprises et de la société civile des deux pays.
Se réjouissant de la qualité de leurs échanges dans les domaines de l’économie sociale et solidaire,
Convaincus de la pertinence de l’économie sociale et solidaire qui apporte un mode d’entreprenariat innovant et alternatif, adaptées au contexte et aux personnes, dans une approche de citoyenneté active et de démocratie sociale,
Convaincus de la part que l'économie sociale et solidaire (ESS) peut prendre dans un développement économique performant, juste et durable,
Prenant acte du développement de l’économie sociale et solidaire au XXX, de la vitalité et de l’expérience des structures coopératives, et des noyaux de développement endogènes (NDE), très impliqués dans la dynamique d’un développement économique favorisant l’inclusion sociale ;
Faisant le constat de la place et de l’expérience de l’économie sociale et solidaire en France, son poids en termes économique, d’emplois et de réalisations industrielles, commerciales, sanitaires et sociales ;
Soucieux de partager les valeurs visant à :
- démocratiser l'économie par des formes d'entreprise associant les parties prenantes aux décisions et réinvestissant leurs résultats pour les générations futures;
- investir dans l'innovation sociale, afin de répondre à des besoins sociaux non ou mal satisfaits et encourager la création d'emplois de qualité.
DECLARENT LEUR INTENTION DE
renforcer leur coopération et approfondir leurs échanges sur les questions d’économie sociale et solidaire, en particulier sur les axes suivants :
1. - Développer la formation
Favoriser la formation des professionnels et plus largement, de tous les personnels engagés dans la conception et la mise en œuvre des politiques des différentes formes de structures de l’économie sociale et solidaire : coopératives, mutuelles, associations, … ;
Favoriser la formation et une assistance technique dans le cadre d’un projet de constitution d’un réseau local d’institutions de micro-crédit autogérées.
2. - Favoriser les échanges d’expériences et de bonnes pratiques
Organiser les échanges de bonnes pratiques et favoriser la participation réciproque aux événements nationaux et régionaux, conférences, forums, par l’intermédiaire notamment des structures françaises implantées au XXX ;
Organiser des rencontres d’experts impliqués dans les structures de l’économie sociale et faciliter le transfert d’expérience.
3. – Promouvoir les projets conjoints de coopération
Identifier les innovations et expérimentations sociales présentant un intérêt mutuel. Dans cet esprit, il s’agit de mettre l’accent sur :
- les politiques publiques de soutien à l’économie sociale et solidaire ;
- l’épargne populaire et sa canalisation au travers de mécanismes financiers pour la construction de logements sociaux (livret A) ;
- le logement social en présentant les particularités du modèle français (loi Solidarité et renouvellement urbain, système des logements d’habitation à loyer modéré, gestion du parc immobilier par des structures associatives ou coopératives) ;
- le rôle des mutuelles dans le développement de la protection sociale complémentaires : formation aux mécanismes de protection sociale et présentation du modèle mutualiste) ;
- le commerce équitable et l’économie de proximité.
L’attention sera portée en particulier sur les possibilités de transposition des meilleures pratiques identifiées, en présentant au besoin des synthèses de rapports publics les plus récents en la matière.
4. - Implication des entreprises dans la promotion des principes de l’économie sociale et solidaires
Les entreprises françaises implantées au XXX sont invitées à promouvoir la diffusion de valeurs qui favorisent la solidarité et l’inclusion sociale, en s’appuyant sur les orientations fixées par les autorités locales et les instruments financiers qui les accompagnent comme la Loi organique pour la science, la technologie et l’innovation -LOCTI- de 2001). Elles peuvent y concourir en s’engageant dans des projets locaux de coopération centrés sur la satisfaction des besoins de la population, sociaux et environnementaux notamment.
Plusieurs exemples concrets d’engagement illustrent déjà la cohérence des actions des entreprises avec ces orientations : électrification solaire, télémédecine, pharmacies sociales, réseau autogéré de microcrédit.
5. – Accompagner la coopération régionale Sud/Sud :
La France et le XXX s’attachent à favoriser et à accompagner la coopération régionale Sud-Sud et les initiatives de développement de l’économie sociale et solidaire, en particulier dans les pays où leur coopération s’avère complémentaire. Haïti pourrait constituer un premier lieu d’expérimentation de cette coopération, les deux pays y étant fortement impliqués. Les deux gouvernements étudieront la possibilité d’étendre cette coopération à d’autres zones géographiques.
6. – Construire une plateforme du commerce équitable :
Accompagner la mise en œuvre par le XXX d’une plate-forme du commerce équitable.
La Commission de Haut Niveau de l’accord-cadre du 2 octobre 2008, pourra constituer le lieu au sein duquel, les gouvernements pourront régulièrement évaluer les progrès et les réalisations en ce domaine de leur coopération en matière d’économie sociale et solidaire.
A cette fin, les deux pays désignent un haut fonctionnaire chargé de coordonner les actions de coopération en matière d’économie sociale et solidaire, permettre un partage d’expériences, assurer un suivi régulier des actions et mettre en œuvre le dialogue entre les pouvoirs publics et les acteurs concernés par les différents de champs de coopération de la déclaration d’intention.
Les activités ainsi programmées pourront être mises en œuvre en fonction des disponibilités respectives de financement.

convienen lo siguiente:
Los gobiernos de la República Francesa y de la República XXX, apegados a los principios, que consideran particularmente necesarios en nuestro tiempo, de solidaridad e innovación social, pretenden reafirmar su voluntad de profundizar su cooperación para reconocer y promover la economía social y solidaria.
Ambos gobiernos desean comprometerse con la promoción de las mejores prácticas en este campo, intensificando los intercambios de experiencia de los diferentes actores a nivel del Estado, de las colectividades locales, de las empresas y de la sociedad civil de los dos países.
Contentos de la calidad de sus intercambios en los campos de la economía social y solidaria,
Convencidos de la pertinencia de la economía social y solidaria que aporta un modo empresarial innovador y alternativo, adaptado al contexto y a las personas, bajo un enfoque de ciudadanía activa y de democracia social,
Convencidos del papel que la economía social y solidaria (ESS) puede desempeñar en un desarrollo económico eficiente, justo y sostenido,
Enterados del desarrollo de la economía social y solidaria en XXX, de la vitalidad y de la experiencia de las estructuras cooperativas, y de los núcleos de desarrollo endógeno (NUDE), muy implicados en la dinámica de un desarrollo económico en favor de la inclusión social;
Constatando el lugar que ocupa y la experiencia de la economía social y solidaria en Francia, su peso en términos económicos, de empleo y de logros industriales, comerciales, sanitarios y sociales;
Preocupados en compartir los valores orientados a:
- democratizar la economía a través de modos empresariales que asocien las partes involucradas en las decisiones y que reinviertan sus resultados para las generaciones futuras;
- invertir en la innovación social, afín de responder a las necesidades sociales mal o no satisfechas y fomentar la creación de empleos de calidad.
DECLARAN SU INTENCIÓN DE
reforzar su cooperación y profundizar sus intercambios sobre los asuntos de economía social y solidaria, en particular en los siguientes ejes:
1. – Desarrollar la formación y capacitación
Favorecer la formación y capacitación de los profesionales y más ampliamente, de todo el personal comprometido con el diseño y la implementación de políticas de diferentes formas de estructuras de la economía social y solidaria: cooperativas, mutuales, asociaciones,…;
Favorecer la formación y una asistencia técnica en el marco de un proyecto de constitución de una red local de instituciones de microcrédito autogestionadas.
2. – Favorecer los intercambios de experiencias y de buenas prácticas
Organizar los intercambios de buenas prácticas y favorecer la participación recíproca en los eventos nacionales y regionales, conferencias, fórums, por intermedio principalmente de las estructuras francesas implantadas en XXX;
Organizar encuentros de expertos implicados en las estructuras de economía social y facilitar la transferencia de experiencia.
3. – Promover los proyectos conjuntos de cooperación
Identificar las innovaciones y experimentos sociales que representan un interés mutuo. En este sentido, se trata de hacer un énfasis en:
- Las políticas públicas de apoyo a la economía social y solidaria ;
- El ahorro popular y su canalización a través de mecanismos financieros para la construcción de viviendas sociales (Libreta A);
- La vivienda social presentando las particularidades del modelo francés (ley Solidaridad y renovación urbana, sistema de viviendas de alquiler moderado, gestión del parque inmobiliario por estructuras asociativas o cooperativas);
- El papel de las mutuales en el desarrollo de la protección social complementaria: formación relacionada con los mecanismos de protección social y presentación del modelo mutualista;
- El comercio justo y la economía de proximidad.
La atención se centrará particularmente en las posibilidades de trasposición de las mejores prácticas identificadas, presentando si es necesario síntesis de los informes públicos más recientes en la materia.
4. – Implicación de las empresas en la promoción de los principios de la economía social y solidaria.
Las empresas francesas implantadas en XXX están invitadas a promover la difusión de valores que favorezcan la solidaridad y la inclusión social, apoyándose en las orientaciones fijadas por las autoridades locales y los instrumentos financieros que las acompañan como la Ley Orgánica para la Ciencia, la Tecnología y la Innovación – LOCTI – de 2001). Las empresas pueden competir comprometiéndose en proyectos locales de cooperación centrados en la satisfacción de las necesidades de la población, sociales y ambientales principalmente.
Varios ejemplos concretos de compromiso ilustran ya la coherencia de las acciones de las empresas con estas orientaciones: electrificación solar, telemedicina, farmacias sociales, red autogestionada de microcrédito.
5. – Acompañar la cooperación regional Sur/Sur:
Francia y Venezuela se comprometen a favorecer y a acompañar la cooperación regional Sur-Sur y las iniciativas de desarrollo de la economía social y solidaria, en particular en los países donde su cooperación es complementaria. Haití podría constituir un primer lugar de experimentación de esta cooperación, ya que los dos países están fuertemente implicados allí. Los dos gobiernos estudiarán la posibilidad de extender esta cooperación a otras zonas geográficas.
6. – Construir una plataforma de comercio justo:
Acompañar la implementación por parte de Venezuela de una plataforma de comercio justo.
La Comisión de Alto Nivel del acuerdo marco del 2 de octubre de 2008, podrá constituir el lugar en el seno del cual, los gobiernos podrán regularmente evaluar los progresos y los logros en este campo de su cooperación en materia de economía social y solidaria.
Con este fin, los dos países designan un alto funcionario encargado de coordinar las acciones de cooperación en materia de economía social y solidaria, permitir un intercambio de experiencias, asegurar un seguimiento regular de las acciones y poner en práctica el diálogo entre los poderes públicos y los actores implicados en los diferentes campos de cooperación de la declaración de intención.
Las actividades así programadas podrán ser implementadas en función de las disponibilidades respectivas de financiamiento.
Las dos partes han firmado la presente declaración de intención en francés y en español, cada una de las dos dan fe.

Source text - Spanish Mediante Resolución No. XXX, de fecha X de junio de 2013, el XXX rechazó parcialmente las solicitudes de compensación de créditos fiscales presentadas por XXX, para pagar el Impuesto sobre la Renta definitivo de los ejercicios fiscales 2007, 2008, 2009, 2010, 2011 y para pagar la declaración estimada de Impuesto sobre la Renta del ejercicio fiscal 2012. Como consecuencia de ello, el XXX exige el pago de una diferencia de impuesto de XXX, impone una multa de XXX, y determina intereses de mora por XXX, para un total de XXX.
El XXX sostuvo que los créditos compensados por XXX, que fueron comprados a otros contribuyentes y que a su vez derivan de retenciones de Impuesto sobre la Renta efectuadas en exceso a dichos contribuyentes, no existen porque dichas retenciones no aparecen reflejadas en los sistemas informáticos del XXX, lo que implicaría que los impuestos retenidos no fueron depositados en el Tesoro Nacional por los agentes de retención respectivos.
Translation - French Par le biais de la Résolution n°XXX, en date du 19 juin 2013, le XXX a rejeté partiellement les demandes de compensation de crédits fiscaux présentées par XXX, visant à payer l'impôt sur le revenu définitif au titre des exercices fiscaux 2007, 2008, 2009, 2010, 2011, et visant à s’acquitter de la déclaration d'impôt estimative sur le revenu au titre de l'exercice 2012. En conséquence, le XXX exige le paiement d'une taxe de XXX, une amende de XXX ainsi que des intérêts moratoires de XXX, pour un montant total s’élevant à XXX.
Le XXX affirme que certains des crédits compensés par XXX., qui ont été achetés à d'autres contribuables et qui sont dérivés à leur tour des retenues de l'impôt sur le revenu, effectuées en excès auxdits contribuables, n’existent pas car ces retenues ne sont pas reflétées dans les systèmes informatiques du XXX, ce qui signifierait que les impôts retenus n’ont pas été déposés auprès du Trésor public par les agents de rétention respectifs.

Los contribuyentes que vendieron a XXX, esos créditos fiscales (contribuyentes-cedentes) entregaron los documentos que prueban las retenciones y por lo tanto la existencia de los créditos fiscales. Si los impuestos retenidos a los contribuyentes-cedentes no fueron depositados en el Tesoro Nacional por los agentes de retención, la ley venezolana establece que dichos agentes de retención son los únicos responsables por esas deudas frente al Fisco. Luego el XXX no puede exigir el pago de esa deuda ni a los contribuyentes-cedentes ni a XXX, (cesionario o adquirente de los créditos fiscales).
(ii) La única prueba con la que cuenta el XXX para sostener la inexistencia de los créditos fiscales derivados de las retenciones de Impuesto sobre la Renta, es la información que arrojan sus sistemas informáticos. La ley venezolana no confiere valor probatorio pleno a la información que reposa en sistemas informáticos, sino un valor probatorio relativo que puede ser desvirtuado.
(iii) XXX, probó ante el XXX la existencia de los créditos con los documentos idóneos a tales fines que de acuerdo con la ley venezolana: (i) los comprobantes de retención emitidos por los agentes de retención; (ii) las declaraciones de Impuesto sobre la Renta de los contribuyentes-cedentes; (iii) los contratos de cesión de los créditos fiscales; y (iv) las notificaciones de las cesiones de los créditos fiscales al XXX.

La loi vénézuélienne n'attribue pas de valeur probatoire pleine à l'information contenue dans des systèmes informatiques, mais une valeur probatoire relative, qui peut être objet d’une contestation.
(iii) XXX, a prouvé devant le SENIAT l'existence des crédits fiscaux par le biais des documents pertinents en la matière, conformément à la loi vénézuélienne : (i) les justificatifs de retenue émis par les agents chargés de la retenue; ii) les déclarations de l'impôt sur le revenu des contribuables-cédants; iii) les contrats de cession des crédits fiscaux; et iv) les notifications des cessions des crédits fiscaux auprès du XXX.

The principles in this Code are further supported and reinforced for all Staff Members by various policies and standards of conduct, including those referenced in this Code. These various policies and standards of conduct are separate from this Code and many of them can be accessed electronically.
The Compliance Department is responsible for interpreting and applying the Code in specific situations in which questions may arise. Questions related to the interpretation or application of the Code must be addressed to the Compliance Department. If you become aware of any existing or potential violation of any law, regulation or the Code, involving yourself or other employees, you are expected to immediately notify the Compliance Department or the head of your Department. Contact with the Compliance Department can be accomplished through e-mail (XXX) or, anonymously, through the Ethic Line (XXX).
The Company encourages its Staff Members to use the available channels for reporting concerns and commits that all information reported by Staff Members, regarding any situations that may give rise to a breach of the provisions contained in this Code, shall be handled with impartially and confidentiality, to the extent possible. Any retaliation against good-faith communications is strictly prohibited.
All Staff Members are required to certify annually that they (1) have reviewed, understand and agree to comply with this Code, (2) understand that the Company has an Ethics Line where they may report concerns anonymously, (3) understand that they are expected to report any existing or potential violation of any law, regulation or the Code, and (4) have not violated any provisions of the Code. In addition, all Staff Member are required as a condition of continued employment to separately certify annually their compliance with other company policies (including, without limitation, the policies referenced herein) and may be required as a condition of continued employment to complete training programs and certifications related to the Code and other Company policies. Failure to adhere to the code may subject you to disciplinary action up to and including immediate termination of employment with or without cause.
Translation - Spanish El presente Código de Ética y Conducta, en lo sucesivo denominado el “Código”, establece nuestros compromisos y resalta la cultura corporativa de XXX y sus filiales directas o indirectas, en lo sucesivo únicamente denominados la “Compañía”.
El presente Código aplica a todos los empleados, oficiales y directores, en lo sucesivo denominados “Miembros del Personal” de todos los niveles jerárquicos, independientemente del puesto que ocupan. Todos los Miembros del Personal tienen un papel que desempeñar en la protección y preservación de la reputación de la Compañía y el presente Código establece los principios que cada uno de nosotros debe seguir en la realización de nuestras actividades en nombre de la Compañía. Los principios del presente Código son respaldados y reforzados aún más por todos los Miembros del Personal a través de un conjunto de políticas y estándares de conducta, incluyendo aquellos a los que se hace referencia en el presente Código. Este conjunto de políticas y estándares de conducta son independientes del presente Código y se puede tener acceso a muchos de ellas electrónicamente.
El Departamento de Cumplimiento es responsable de la interpretación y aplicación del Código en situaciones específicas en las cuales pueden surgir preguntas. La Compañía insta a sus Miembros de Personal a utilizar los canales disponibles para reportar inquietudes y se compromete a que toda la información reportada por los Miembros del Equipo, con respecto a cualquier situación que pueda dar lugar a una violación de las disposiciones contenidas en el presente Código, serán tratadas con imparcialidad y confidencialidad en la medida de lo posible. Adicionalmente, a todos los Miembros del Equipo se les solicita como una condición de trabajo ininterrumpido declarar por separado cada año su cumplimiento con otras políticas de la compañía (incluyendo y sin limitarse a las políticas en las que se hace referencia en el presente Código) y se les puede solicitar como una condición de trabajo ininterrumpido realizar programas de formación y certificaciones relacionadas con el Código y otras políticas de la Compañía. El incumplimiento en la adhesión al presente Código puede acarrearle una acción disciplinaria, incluyendo la rescisión inmediata del contrato de trabajo con y sin justificación.
