Source text - English (a) Nada más recibir la Información Confidencial, la Parte receptora:
i) acusará recibo de la misma,
ii) la mantendrá en estricta confidencialidad,
iii) la utilizará solamente en relación con el PROPÓSITO,
iv) no la revelará a una tercera parte sin el previo consentimiento escrito de la Parte emisora y
v) sólo podrá revelar dicha Información a los empleados de su compañía que tengan necesidad expresa de conocerla en relación con el PROPÓSITO, advirtiendo a dichos empleados de esta circunstancia.
(b) La Parte receptora no podrá copiar ni reproducir la Información Confidencial suministrada por la otra Parte en formato o soporte alguno, excepto si ello fuera preciso con arreglo a lo previsto en el párrafo (a) anterior, conservando en este caso, registro del destinatario, fecha de suministro, con identificación del documento y número de copias entregadas. Toda copia o reproducción que se haga deberá contener el mismo sello, marca o leyenda que su original de conformidad con lo previsto en el párrafo (a) de la cláusula 1.
Translation - Spanish (a) The Receiving Party, immediately upon receipt of the Confidential Information:
i) shall acknowledge the receipt of this information above,
ii) shall keep it strictly confidential,
iii) shall use it solely in connection with the PURPOSE,
iv) shall not disclose it to any third party without prior written consent from the providing Party and
v) may disclose such information only to those employees of its company who have express need to know it in connection with the PURPOSE, and warning such employees of this circumstance.
(b) The receiving Party shall not copy or reproduce any Confidential Information supplied by the other Party by any media or means, unless it is required pursuant to the provisions of paragraph (a) above. In this case, the registration of the recipient and the date of delivery identifying the document, as well as the number of delivered copies, shall be preserved. Any copy or reproduction that is made shall contain the same stamp, mark or legend that its original document in accordance with the provisions in paragraph (a) of Clause First.
