Source text - English 4. Conditions to Closing
4.1 Closing and, consequently, the effectiveness of the sale and transfer of the Shares, are subject to and conditional on fulfilment of the conditions precedent set out below (“Conditions Precedent”):
4.1.1 Signing of the early termination of the Management Agreements between the Company and XXX, for the Leisure Areas business unit and between the Company, Sub-Community B and the Buyer for the Sub- Community B business unit;
4.1.2 Signing of the Franchise Documents;
4.2 The fulfilment of the Conditions Precedent requires the Party’s active involvement or assistance, or where a Party is capable of preventing its fulfilment, that Party must ensure that the Condition Precedent is fulfilled as soon as practicable, except that Seller shall have no obligation to spend any amounts in relation to the fulfilment of any Condition Precedent or provide any representations, warranties and/or guarantees to any of the Co-Owners.
4.3 In the event that all Conditions Precedent have not been fulfilled on or before December 1st, 2015 and subject to the obligations of the parties under clause 4.2, this Agreement may be terminated by either party upon written notice to the other party, and the Parties shall not be entitled to demand any compensation for damages in relation to such termination.
Buyer hereby agrees to indemnify and hold Seller and its contractors, agents, directors, officers and employees free and harmless from and against any and all penalties, losses, demands, costs and liabilities (including reasonable attorneys’ fees, expenses and disbursements) arising out of or resulting from any third party claims asserted against Seller after the Closing relating to the ownership of the Companies and/or the ownership, management, maintenance, operation, use or occupancy of the Hotel.
5. Termination
5.1 The Seller shall be entitled to terminate this Agreement by notice to the Buyer, if the Buyer breaches any of its obligations under this Agreement.
5.2 In the event of a termination of this Agreement under clause 5.1:
5.2.1 no Party shall have any liability or responsibility to the other except as specified in the remaining sub-clauses of this clause 5.2 and in clause 5.3, which shall continue in full force and effect;
5.2.2 in the case of a termination pursuant to clause 5.1, the Buyer shall compensate the Seller in full for all Damages and Losses incurred in connection with this Agreement or its termination;
5.2.3 Buyer shall pay Seller a penalty amounting to Euro 1,000,000.00 (in words: ONE MILLION Euros), within two (2) Business Days following request by Seller (the “Penalty”).
Translation - Spanish 4. Condiciones del cierre
4.1 El Cierre y, por consiguiente, que la venta y transmisión de las Acciones se hagan efectivas, está sujeto y se condiciona al cumplimiento de las condiciones suspensivas establecidas a continuación ("Condiciones suspensivas"):
4.1.1 La firma de la resolución anticipada de los Contratos de Gestión entre la Sociedad y XXX, para la unidad de negocio Áreas de Ocio; y entre la Sociedad, Subcomunidad B y el Comprador para la unidad de negocio Subcomunidad B.
4.1.2 La firma de los Documentos de la Franquicia;
4.2 Para el cumplimiento de las Condiciones Suspensivas es necesario que las Partes se involucren de manera activa, colaboren o, cuando una de las Partes pueda impedir su cumplimiento, ésta deberá garantizar que la Condición Suspensiva se cumpla tan pronto como sea posible, con la excepción de que el Vendedor no está obligado a desembolsar ninguna cantidad en lo relativo al cumplimiento de cualquier Condición Suspensiva ni a proporcionar ninguna declaración, garantía y/o fianza en favor de ninguno de los Copropietarios.
4.3 En el caso de que no se hayan cumplido ninguna de las Condiciones Suspensivas el 1 de diciembre de 2015 o antes y de acuerdo con las obligaciones de las partes según la cláusula 4.2, cualquiera de las partes podrá resolver el presente Contrato previa notificación a la otra parte, asimismo las Partes no tendrán derecho a exigir ningún tipo de indemnización por daños y perjuicios por dicha resolución.
Mediante el presente Contrato el comprador accede a eximir al Comprador y sus contratistas, agentes, consejeros, responsables y empleados de toda responsabilidad por cualquier sanción, pérdida, demanda, coste y responsabilidad (incluidos los gastos, desembolsos y tarifas razonables de abogados) derivados o producidos a consecuencia de cualquier demanda de terceros interpuesta contra el Vendedor tras el Cierre, en relación con la propiedad de las Sociedades y/o la propiedad, gestión, mantenimiento, funcionamiento, uso u ocupación del Hotel.
5. Resolución del Contrato
5.1 El Vendedor tendrá derecho a resolver el presente Contrato mediante notificación al Comprador, en caso de que el Comprador incumpla cualquiera de sus obligaciones de conformidad con el presente Contrato.
5.2 Si se produjera la resolución del presente Contrato de acuerdo con lo estipulado en la cláusula 5.1:
5.2.1 ninguna de las partes tendría ninguna responsabilidad respecto a la otra excepto en los casos especificados en las restantes subcláusulas de esta cláusula 5.2 y en la cláusula 5.3, que continuaría en plena vigencia;
5.2.2 en caso de una resolución conforme a la cláusula 5.1, el Comprador indemnizaría completamente al Vendedor por los Daños y Perjuicios y Pérdidas incurridas con relación al presente Contrato o su resolución;
5.2.3 El Comprador pagaría una sanción al Vendedor que ascendería a 1.000.000,00 euros (en letras: UN MILLÓN de euros), en el plazo de dos (2) Días Hábiles tras la petición del Vendedor (la "Sanción").

During my degree, I started as an intern at the Portuguese Consulate in Barcelona, where I was able to gain experience in translating and reviewing Portuguese legal texts. Later, I obtained a grant to work at a translation agency located in the UK for more than a year, first as an intern and later as part of the professional team. While at this agency, I translated a wide range of documents in the following fields: marketing, legal, technical, medical, etc. When I came back from the UK, I worked in a legal firm for a year, where I had the opportunity to broaden my knowledge and experience in legal translation. I have also worked as a Project Manager for 8 years, so I fully understand what translation agencies expect from their linguists and I am able to solve and quickly detect the potential problems that may arise from the translation process.
