Alcon, Inc.'s management is responsible for establishing and maintaining adequate internal control over financial reporting. Alcon, Inc.'s management assessed the effectiveness of the Company's internal control over financial reporting as of December 31, 2007. (1) Summary of Significant Accounting Policies and Practices
(a) Description of Business
Alcon, Inc. ("Alcon"), a Swiss corporation, is a majority owned subsidiary of Nestlé S.A. ("Nestlé"). The principal business of Alcon and all of its subsidiaries (collectively, the "Company") is the development, manufacture and marketing of pharmaceuticals, surgical equipment and devices, contact lens care and other vision care products that treat eye diseases and disorders and promote the general health and function of the human eye. Due to the nature of the Company's worldwide operations, it is not subject to significant concentration risks.
(b) Principles of Consolidation
The consolidated financial statements include the accounts of the Company. All significant balances and transactions among the consolidated entities have been eliminated in consolidation. All consolidated entities are included on the basis of a calendar year.
(c) Management Estimates
Management of the Company has made a number of estimates and assumptions relating to the reporting of assets and liabilities and the disclosure of contingent assets and liabilities to prepare these financial statements in conformity with accounting principles generally accepted in the United States of America ("U.S. GAAP"). Actual results could differ from those estimates.
(d) Foreign Currency
The reporting currency of the Company is the United States dollar. The financial position and results of operations of the Company's foreign subsidiaries are generally determined using the local currency as the functional currency. Assets and liabilities of these subsidiaries have been translated at the rate of exchange at the end of each period. Revenues and expenses have been translated at the weighted average rate of exchange in effect during the period. Gains and losses resulting from translation adjustments are included in accumulated other comprehensive income (loss) in shareholders' equity. The impact of subsidiaries located in countries whose economies are considered highly inflationary is insignificant. Gains and losses resulting from foreign currency transactions are included in nonoperating earnings. Under Swiss corporate law, Alcon is required to declare any dividends on its common shares in Swiss francs.
(e) Cash and Cash Equivalents
Cash equivalents include demand deposits and all highly liquid investments with original maturities of three months or less.
(f) Inventories
Inventories are stated at the lower of cost or market. Cost is determined primarily using the first-in, first-out method.
(g) Investments
The Company holds investments of various types, maturities and classifications.
Trading Securities. Trading securities are stated at fair value, with gains or losses resulting from changes in fair value recognized currently in earnings. Gains or losses from changes in fair value of these securities are included in the consolidated statements of earnings in other, net.
Available-for-Sale Investments. Investments designated as available-for-sale include marketable debt and equity securities. Investments designated as available-for-sale are reported at fair value, with unrealized gains and losses, net of tax, recorded in shareholders' equity. The cost of securities sold is based on the specific identification method. Realized gains and losses on the sale of these securities are recorded in the consolidated statements of earnings in other, net. Should the decline in value of any investment be deemed to be other-than-temporary, the investment basis would be written down to fair value and the write-down would be recorded to earnings as a loss.
Held-to-Maturity Investments. The Company holds no investments classified as held-to-maturity.
Short Term/Long Term Classification. The Company considers all liquid interest-earning investments with a maturity of three months or less to be cash equivalents. Debt securities with maturities greater than three months and less than one year are classified as short term investments. Generally, debt securities with remaining maturities greater than one year are classified as long term investments. However, investments with maturities greater than one year may be classified as short term based on their highly liquid nature and because they represent the investment of cash that is available for current operations.
(h) Financial Instruments
The Company uses various derivative financial instruments on a limited basis as part of a strategy to manage the Company's exposure to certain market risks associated with interest rate and foreign currency exchange rate fluctuations expected to occur within the next twelve months. The Company evaluates the use of interest rate swaps and periodically uses such arrangements to manage its interest risk on selected debt instruments.
The Company regularly uses foreign currency forward exchange contracts to reduce the effect of exchange rate changes on certain foreign currency denominated intercompany and third-party transactions. The forward exchange contracts establish the exchange rates at which the Company purchases or sells the contracted amount of foreign currencies for specified local currencies at a future date. The Company uses forward contracts, which are short term in nature, and receives or pays the difference between the contracted forward rate and the exchange rate at the settlement date.
All of the Company's derivative financial instruments are recorded at fair value. For derivative instruments designated and qualifying as fair value hedges, the gain or loss on these hedges is recorded immediately in earnings to offset the changes in the fair value of the assets or liabilities being hedged. For derivative instruments designated and qualifying as cash flow hedges, the effective portion of the gain or loss on these hedges is reported as a component of accumulated other comprehensive income (loss) in shareholders' equity, and is reclassified into earnings when the hedged transaction affects earnings.
(i) Property, Plant and Equipment
Property, plant and equipment are stated at historical cost. Additions, major renewals and improvements are capitalized while repairs and maintenance costs are expensed. Upon disposition, the book value of assets and related accumulated depreciation is relieved and the resulting gains or losses are reflected in earnings.
Depreciation on plant and equipment is calculated on the straight-line method over the estimated useful lives of the assets, which are as follows:
Land improvements 25 years
Buildings and improvements 12-50 years
Machinery, other equipment and software 3-12 years
(j) Goodwill and Intangible Assets, Net
Goodwill is not amortized, but instead is tested for impairment at least annually. Intangible assets with estimable useful lives are amortized over their respective estimated useful lives to their residual values and reviewed for recoverability upon the occurrence of an event that might indicate conditions for impairment could exist.
Intangible assets, net, consist of acquired customer base, trademarks, patents and licensed technology. The cost of these intangible assets is amortized on a straight-line basis over the estimated useful lives of the respective assets, which are 4 to 20 years.
(k) Impairment
Long-lived assets and certain identifiable intangible assets are reviewed for impairment whenever events or changes in circumstances indicate that the carrying amount of an asset may not be recoverable. Recoverability of assets to be held and used is measured by a comparison of the carrying amount of an asset to future net cash flows expected to be generated by the asset. If such assets are considered to be impaired, the impairment to be recognized is measured by the amount by which the carrying amount of the assets exceeds the fair value of the assets. Assets to be disposed of are reported at the lower of the carrying amount or fair value less costs to sell.
(l) Pension and Other Postretirement Plans
The Company sponsors several defined contribution plans, defined benefit retirement plans and a postretirement healthcare plan.
The Company provides for the benefits payable to employees on retirement by charging current service costs to income systematically over the expected service lives of employees who participate in defined benefit plans. An actuarially computed amount is determined at the beginning of each year by using valuation methods that attribute the cost of the retirement benefits to periods of employee service. Such valuation methods incorporate assumptions concerning employees' projected compensation and healthcare cost trends. Prior service costs for plan amendments are generally charged to income systematically over the remaining expected service lives of participating employees.
Effective December 31, 2006, the Company adopted the recognition and related disclosure provisions of Statement of Financial Accounting Standards ("SFAS") No. 158, "Employers' Accounting for Defined Benefit Pension and Other Postretirement Plans, an amendment of FASB Statements No. 87, 88, 106 and 132(R)." Under SFAS No. 158, the overfunded or underfunded status of defined benefit postretirement plans (other than multiemployer plans) must be shown as an asset or liability in the balance sheet and changes in the funded status are recognized in the year in which the changes occur through other comprehensive income. The Company has elected to delay adoption of the provision to measure the funded status of a plan as of the date of its year-end balance sheet. The requirement to measure plan assets and benefit obligations as of the fiscal year-end date is required for fiscal years ending after December 15, 2008. Under SFAS No. 158, retrospective application is not permitted. Therefore, the amounts of accumulated other comprehensive income (loss) at December 31, 2007 and 2006 are not directly comparable to the amount at December 31, 2005.
The cost recognized for defined contribution plans is based upon the contribution required for the period.
(m) Revenue Recognition
The Company recognizes revenue on product sales when the customer takes title and assumes risk of loss except for surgical equipment sales. If the customer takes title and assumes risk of loss upon shipment, revenue is recognized on the shipment date. If the customer takes title and assumes risk of loss upon delivery, revenue is recognized on the delivery date. Revenue is recognized as the net amount to be received after deducting estimated amounts for rebates and product returns.
The Company recognizes revenue on surgical equipment sales when the customer takes title and assumes risk of loss and when installation and any required training have been completed. Per procedure technology fees related to refractive laser systems are recognized in the period when the procedure is performed.
The Company recognizes revenue in accordance with the United States Securities and Exchange Commission Staff Accounting Bulletin No. 104.
When the Company recognizes revenue from the sale of products, certain items, such as cash discounts, allowances and rebates, which are known and estimable at the time of sale, are recorded as a reduction of sales in accordance with Emerging Issues Task Force Issue No. 01-9, "Accounting for Consideration Given by a Vendor to a Customer (Including a Reseller of the Vendor's Products)." To the extent the customer will, or is expected to, reduce its payment on the related invoice amounts, these items are reflected as a reduction of accounts receivable and sales.
In accordance with certain government rebate requirements (such as those under U.S. Medicaid and Medicare) and with certain contractual agreements, the Company is required to pay rebates to customers, their customers or government agencies under provisions that limit the amounts that may be paid for pharmaceuticals and surgical devices. The amount of accrued product rebates is included in other current liabilities.
The Company records a reduction of sales for estimated discounts, allowances and rebates in the period in which the related sales occur, based upon historical experience of amounts paid and amounts as a percentage of sales. The Company also considers the effects of changes in product pricing, in sales trends, in contract terms and in laws and regulations.
Value added taxes and other sales taxes are excluded from sales.
(n) Research and Development
Internal research and development are expensed as incurred. Third-party research and development costs are expensed as the contracted work is performed or as milestone results have been achieved.
(o) Selling, General and Administrative
Advertising costs are expensed as incurred. Advertising costs amounted to $151.1, $130.4 and $128.8 in 2007, 2006 and 2005, respectively.
Shipping and handling costs amounted to $66.3, $56.6 and $49.1 in 2007, 2006 and 2005, respectively.
Legal costs are expensed during the period incurred.
(p) Income Taxes
The Company recognizes deferred income tax assets and liabilities for temporary differences between the financial reporting basis and the tax basis of the Company's assets, liabilities and expected benefits of utilizing net operating loss and credit carryforwards. The impact on deferred income taxes of changes in tax rates and laws, if any, are applied to the years during which temporary differences are expected to be settled and reflected in the financial statements in the period of enactment. Withholding taxes have been provided on unremitted earnings of subsidiaries which are not reinvested indefinitely in such operations. Dividends paid by subsidiaries to Alcon, Inc. do not result in Swiss income taxes.
(q) Basic and Diluted Earnings Per Common Share
Basic earnings per common share were computed by dividing net earnings by the weighted average number of common shares outstanding for the relevant period. The unvested portion of restricted common shares was excluded in the calculation of basic weighted average common shares outstanding. Diluted weighted average common shares reflect the potential dilution, using the treasury stock method, that could occur if employee stock options for the purchase of common shares and share-settled stock appreciation rights were exercised and if share-settled restricted share units and contingent restricted common shares granted to employees were vested.

Certain executives of the Company had deferred the receipt of 161,097 and 174,413 Alcon common shares at December 31, 2007 and 2006, respectively, into the Alcon Executive Deferred Compensation Plan ("DCP") discussed in note 13. (r) Comprehensive Income
Comprehensive income consists of net earnings, foreign currency translation adjustments, unrealized gains (losses) on investments, the changes in the funded status of defined benefit postretirement plans (beginning in 2007) and, in 2005, minimum pension liability adjustments and is presented in the consolidated statements of shareholders' equity and comprehensive income.
(s) Share-Based Compensation
Effective January 1, 2006, the Company adopted SFAS No. 123(R), "Share-Based Payment." This statement replaced SFAS No. 123, "Accounting for Stock-Based Compensation" and supersedes Accounting Principles Board ("APB") Opinion No. 25, "Accounting for Stock Issued to Employees." SFAS No. 123(R) requires the measurement and recognition of compensation expense for all share-based payment awards made to employees and directors, based on estimated "fair values."
The Company adopted SFAS No. 123(R) using the modified prospective transition method. Under that transition method, compensation cost recognized in the year ended December 31, 2006 included:
(a) compensation cost for all share-based payments granted prior to, but not vested as of January 1, 2006, based on the grant-date "fair value" estimated in accordance with the original provisions of SFAS No. 123, and
(b) compensation cost for all share-based payments granted subsequent to January 1, 2006, based on the grant-date "fair value" estimated in accordance with the provisions of SFAS No. 123(R).
Net earnings for the years ended December 31, 2007 and 2006 reflected the impact of SFAS No. 123(R). In accordance with the modified prospective transition method, the consolidated financial statements for the year ended December 31, 2005 have not been restated to reflect the impact of SFAS No. 123(R). Therefore, the results for the years ended December 31, 2007 and 2006 are not directly comparable to those in the year ended December 31, 2005.
SFAS No. 123(R) requires companies to estimate the "fair value" of share-based payment awards as of the date of grant using an option-pricing model. The value of the portion of the award that is ultimately expected to vest is recognized as expense on a straight-line basis over the requisite service period. Share-based compensation expense recognized in net earnings for the years ended December 31, 2007 and 2006 were based on awards ultimately expected to vest, and therefore the amounts were reduced for estimated forfeitures. SFAS No. 123(R) requires forfeitures to be estimated at the time of grant and revised, if necessary, in subsequent periods if actual forfeitures differ materially from those estimates. SFAS No. 123(R) also requires that excess tax benefits related to share-based compensation be reflected as financing cash flows rather than operating cash flows.
Prior to the adoption of SFAS No. 123(R), the Company applied the intrinsic value based method provisions of APB Opinion No. 25 and related interpretations in accounting for grants to Company directors, officers and employees under the 2002 Alcon Incentive Plan. Under the intrinsic value method, no share-based employee compensation expense for stock options had been recognized in net earnings, as all options granted under the plan had an exercise price equal to the fair market value of the underlying common share at the date of grant. In the pro forma disclosures required under SFAS No. 123 for the periods prior to fiscal 2006, the Company accounted for forfeitures as they occurred.
The Company records deferred tax assets for share-based awards that result in deductions on the Company's income tax returns, based on the amount of compensation cost recognized and the Company's statutory tax rate in the jurisdiction in which it will receive a deduction. Differences between the deferred tax assets recognized for financial reporting purposes and the actual tax deduction reported on the Company's income tax return are recorded in additional paid-in capital (if the tax deduction exceeds the deferred tax asset) or in the consolidated statement of earnings (if the deferred tax asset exceeds the tax deduction and no additional paid-in capital exists from previous awards).
(t) Treasury Shares
Treasury shares are accounted for by the cost method. The board of directors has approved the purchase of Alcon common shares for various purposes as described in notes 12 and 17.
(u) Warranty Reserves
The Company generally warrants its surgical equipment against defects for a period of one year from the installation date. Warranty costs are estimated and expensed at the date of sale and the resulting accrued liability is amortized over the warranty period. Such costs are estimated based on actual cost experience.
(v) Reclassifications
In the consolidated statements of cash flows and in notes 3 and 10, certain reclassifications were made to prior year amounts to conform with current year presentation. These reclassifications had no effect on reported earnings, working capital or shareholders' equity.

c) During the years ended December 2007, 2006 and 2005, $0.3, $0.2 and $0.3, respectively, of dividends, applicable to Alcon common shares that previously were deferred into the Alcon Executive Deferred Compensation Plan, were not paid in cash but were credited to additional paid-in capital until such dividends are delivered in common shares. In 2006 and 2005, 737 and 911 treasury shares, representing previously declared dividends applicable to common shares withdrawn from this plan, were delivered to plan participants. During the year ended December 31, 2007, the Company recognized losses totaling $32.7 related to the impairment of certain plant, equipment and intangible assets used in its refractive product line and to the valuation of refractive product inventories. The losses were recorded in cost of goods sold ($24.0) and amortization of intangibles ($8.7) in the consolidated statements of earnings for the year ended December 31, 2007.
During March 2007, in connection with the Company's ongoing review of its refractive product line, the Company determined that the carrying amounts of long-lived assets used in the refractive product line probably would not be recovered through the respective projected cash flows, although the Company continued to use those assets. Consequently, the impairment review was conducted using the then-latest projections on a gross basis to determine whether the carrying amounts of the refractive assets were recoverable. After the carrying amounts were determined not recoverable, a traditional discounted cash flow calculation was used to estimate the fair values of the refractive assets for the purpose of measuring the impairment losses, as the Company believes this approach provided the most reasonable estimate of the fair values of those assets.

At December 31, 2007, the Company had several unsecured line of credit agreements with third parties totaling $587.9 that were denominated in various currencies. The commitment fees related to unused borrowings under these facilities were less than $0.5 during 2007, 2006 and 2005. The weighted average interest rates at December 31, 2007 and 2006 were 4.7% and 3.9%, respectively. The amounts outstanding under these agreements at December 31, 2007 were due at various dates during 2008.
At December 31, 2007, the Company had a $2,000.0 commercial paper facility. At December 31, 2007, the outstanding balance carried an average interest rate of 4.4% before fees. Nestlé guarantees the commercial paper facility and assists in its management, for which the Company pays Nestlé an annual fee based on the average outstanding commercial paper balances. The Company's management believes that any fees paid by the Company to Nestlé for their guarantee of any indebtedness or for the management of the commercial paper program are comparable to the fees that would be paid in an arm's length transaction. Total guarantee fees paid to Nestlé for the years ended December 31, 2007, 2006 and 2005 were $0.4, $0.4 and $0.5, respectively.
The Company had various unsecured promissory notes and line of credit agreements denominated in various currencies with several subsidiaries of Nestlé. These short term borrowings at December 31, 2007 were either due on demand or at various dates during 2008. The weighted average interest rates at December 31, 2007 and 2006 were 3.7% and 2.6%, respectively. The unused portion under the line of credit agreements was $128.5 at December 31, 2007.
The Company had several unsecured bank overdraft lines of credit denominated in various currencies totaling $193.7 at December 31, 2007. The weighted average interest rates on bank overdrafts at December 31, 2007 and 2006 were 7.3% and 6.2%, respectively.

License obligations represented the present value of noninterest bearing future fixed payments through 2013 that were capitalized as intangibles. These obligations were discounted at the Company's borrowing rate (4.8%) at the time each license was obtained.
The Company's Japanese subsidiary has an outstanding bank loan with a fixed interest rate of 1.6%, due in 2011. This fixed rate of 1.6% was swapped for floating rate yen LIBOR, which was 0.9% at December 31, 2007. The bank loan was guaranteed by Nestlé for a fee of approximately $0.1 annually in 2007, 2006 and 2005.
Long term maturities for each of the next five years are $1.3 in 2008, $1.9 in 2009, $1.1 in 2010, $46.9 in 2011 and $1.2 in 2012.
Interest costs of $2.7, $0.9 and $0.4 in 2007, 2006 and 2005, respectively, were capitalized as part of property, plant and equipment.

BERICHT DER GESCHÄFTSLEITUNG ÜBER DAS INTERNE KONTROLLSYSTEM DER FINANZBERICHTERSTATTUNG
Es ist Aufgabe der Geschäftsleitung der Alcon, Inc., ein wirksames internes Kontrollsystem der Finanzberichterstattung einzurichten und anzuwenden. Das interne Kontrollsystem der Alcon, Inc. wurde so ausgestaltet, dass es der Geschäftsleitung der Gesellschaft hinreichende Sicherheit im Hinblick auf die Zuverlässigkeit der Finanzberichterstattung sowie die Erstellung und den tatsächlichen Verhältnissen entsprechende Darstellung des extern zu berichtenden Konzernabschlusses gewährt.
Aber auch bei sorgfältiger Ausgestaltung sind internen Kontrollsystemen grundsätzlich Grenzen auferlegt. Selbst wenn sie als wirksam beurteilt werden, können sie lediglich eine hinreichende Sicherheit im Hinblick auf die Aufstellung und Darstellung eines Abschlusses gewähren. Weiterhin sind Prognosen zur Beurteilung der Wirksamkeit in künftigen Perioden mit dem Risiko behaftet, dass Kontrollen wegen geänderter Verhältnisse nicht mehr angemessen sind oder sich der Grad der Einhaltung vorhandener Richtlinien und Verfahren verschlechtert.
Alcon, Inc. erwarb eine Mehrheitsbeteiligung an WaveLight AG im November 2007. Die Geschäftsleitung hat aus der Beurteilung der Wirksamkeit von Alcon, Inc. 's internen Kontrollesystem über die finanzielle Berichterstattung ab dem 31. Dezember 2007 ausgeschlossen. WaveLight AG's der internen Kontrollesystem über die finanzielle Berichterstattung im Zusammenhang mit einer Bilanzsumme von $ 208,1 Mio. und einen Umsatz von $ 15,1 Mio. sind in den Konzernabschluss der Alcon, Inc. und ihre Tochtergesellschaften wie der und für die Jahre zum 31. Dezember 2007 ausgewiesen. Die Geschäftsleitung hat nicht die Wirksamkeit der internen Kontrollen über die finanzielle Berichterstattung auf WaveLight AG aufgrund der Komplexität im Bezug von der Beurteilung der internen Kontrollen bei Integrationsanstrengungen bewertet.
Die Geschäftsleitung der Alcon, Inc. hat die Wirksamkeit des internen Kontrollsystems für die Finanzberichterstattung zum 31. Dezember 2007 beurteilt. Diese Beurteilung beruhte auf den Kriterien, die in dem vom Committee of Sponsoring Organizations of the Treadway Commission (COSO) herausgegebenen Arbeitspapier Internal Control - Integrated Framework festgelegt sind. Auf der Grundlage ihrer Beurteilung stellte die Geschäftsleitung fest, dass das interne Kontrollsystem der Finanzberichterstattung der Alcon, Inc. zum 31. Dezember 2007 wirksam war.

Alcon, Inc.:
Wir haben die beigefügten Konzernbilanzen der Alcon, Inc. und ihrer Tochtergesellschaften zum 31. Dezember 2007 und 2006 sowie die Konzerngewinn- und -verlustrechnungen, die Eigenkapitalveränderungsrechnungen und die Kapitalflussrechnungen für die drei Geschäftsjahre bis zum 31. Dezember 2007 geprüft. Für den Konzernabschluss ist die Geschäftsleitung der Gesellschaft verantwortlich. Unsere Aufgabe besteht darin, auf der Grundlage unserer Prüfung ein Urteil über den Konzernabschluss abzugeben.
Wir haben unsere Prüfungen unter Beachtung der Grundsätze des Public Company Accounting Oversight Board der USA vorgenommen. Danach ist die Prüfung so zu planen und durchzuführen, dass ein hinreichend sicheres Urteil darüber abgegeben werden kann, ob der Jahresabschluss frei von wesentlichen Unrichtigkeiten ist. Die Prüfung schließt eine stichprobenartige Prüfung der Nachweise für die Beträge und Angaben im Abschluss ein. Sie beinhaltet ferner die Beurteilung der angewandten Bilanzierungs- und Bewertungsmethoden, der wesentlichen Einschätzungen der Geschäftsleitung sowie eine Beurteilung der Gesamtdarstellung des Jahresabschlusses. Wir sind der Auffassung, dass unsere Prüfungen eine hinreichend sichere Grundlage für unser Prüfungsurteil bilden.
Nach unserer Überzeugung vermitteln die vorgenannten Konzernabschlüsse in allen wesentlichen Aspekten ein den tatsächlichen Verhältnissen entsprechendes Bild der Vermögenslage der Alcon, Inc. und ihrer Tochtergesellschaften zum 31. Dezember 2007 und 2007 sowie der Finanz- und Ertragslage der drei Geschäftsjahre bis zum 31. Dezember 2007, und sie entsprechen den in den USA allgemein anerkannten Rechnungslegungsgrundsätzen.
Wie in Anm. 9 im Anhang zum Konzernabschluss erläutert, wendete die Gesellschaft ab dem 1. Januar 2007 FASB Interpretation No.48, Accounting for Uncertainty in Income Taxes, an interpretation of FASB Statement No. 109, an.
Wie in Anm. 1 und Anm. 16 im Anhang zum Konzernabschluss erläutert, wendete die Gesellschaft ab dem 31. Dezember 2006 die Ansatz- und Offenlegungsvorschriften von Statement of Financial Accounting Standards 158, Employers' Accounting for Defined Benefit Pension and Other Postretirement Plans, an.
Wie in Anm. 1 und Anm. 12 im Anhang zum Konzernabschluss erläutert, wendete die Gesellschaft ab dem 31. Janur 2006 Statement of Financial Accounting Standards No.123 (R), Share-Based Payment,an.
Wir haben ferner gemäß den Grundsätzen des Public Company Accounting Oversight Board der USA die Wirksamkeit der internen Kontrollen der Finanzberichterstattung der Alcon, Inc. zum 31. Dezember 2007 auf der Grundlage der Kriterien geprüft, die im Arbeitspapier Internal Control — Integrated Framework des Committee of Sponsoring Organizations of the Treadway Commission (COSO) festgelegt sind. Wir haben in unserem Bericht vom 17. März 2008 der Beurteilung der Geschäftsleitung sowie der Wirksamkeit des internen Kontrollsystems für die Finanzberichterstattung jeweils einen uneingeschränkten Bestätigungsvermerk erteilt.

Wir haben das im beiliegenden Bericht der Geschäftsleitung über das interne Kontrollsystem der Finanzberichterstattung enthaltene Urteil geprüft, wonach bei Alcon, Inc. zum 31. Dezember 2007 eine wirkungsvolle interne Kontrolle der Finanzberichterstattung vorhanden war. Diese Prüfung stützt sich auf die im Internal Control-Integrated Framework des Committee of Sponsoring Organizations of the Treadway Commission (COSO) genannten Kriterien. Die Anwendung wirksamer interner Kontrollen der Finanzberichterstattung sowie die Beurteilung der Wirksamkeit dieser Kontrollen liegen in der Verantwortung der Geschäftsleitung der Alcon, Inc. Unsere Aufgabe ist es, auf der Grundlage der von uns durchgeführten Prüfung eine Stellungnahme zum Urteil der Geschäftsleitung sowie zur Wirksamkeit des internen Kontrollsystems für die Finanzberichterstattung abzugeben.
Wir haben unsere Prüfung unter Beachtung der Grundsätze des Public Company Accounting Oversight Board der USA vorgenommen. Danach ist die Prüfung so zu planen und durchzuführen, dass mit hinreichender Sicherheit erkannt wird, ob in allen wichtigen Belangen eine wirksame interne Kontrolle der Finanzberichterstattung vorhanden war. Zu unserer Prüfung gehörte es auch, die internen Kontrollen der Finanzberichterstattung zu verstehen, das Urteil der Geschäftsleitung zu bewerten, die Ausgestaltung und Funktionsfähigkeit der internen Kontrollen zu testen und zu bewerten und weitere unter den Umständen für notwendig erachtete Verfahren anzuwenden. Wir sind der Auffassung, dass unsere Prüfung eine ausreichende Grundlage für unser Urteil bildet.
Das interne Kontrollsystem der Finanzberichterstattung eines Unternehmens soll eine hinreichende Sicherheit im Hinblick auf die Zuverlässigkeit der Finanzberichterstattung und die Übereinstimmung der externen Berichterstattung mit den Rechnungslegungsvorschriften der USA gewähren. Das interne Kontrollsystem der Finanzberichterstattung eines Unternehmens enthält Richtlinien und Verfahren, die Folgendes mit hinreichender Sicherheit gewährleisten: (1) die Aufzeichnungen stellen die Geschäftsvorfälle und Verfügungen über die Vermögensgegenstände des Unternehmens hinreichend genau und zutreffend dar; (2) die Geschäftsvorfälle werden in der erforderlichen Weise aufgezeichnet, um die Erstellung des Abschlusses in Übereinstimmung mit den Rechnungslegungsgrundsätzen sicherzustellen; zudem erfolgen Einnahmen und Ausgaben des Unternehmens nur nach Genehmigung der Geschäftsleitung; und (3) ein unerlaubter Erwerb, die unerlaubte Nutzung oder Veräußerung von Vermögensgegenständen des Unternehmens, die eine erhebliche Auswirkung auf den Abschluss der Gesellschaft haben könnten, werden vermieden oder rechtzeitig aufgedeckt.
Aufgrund seiner inhärenten Grenzen kann ein internes Kontrollsystem der Finanzberichterstattung Unrichtigkeiten möglicherweise nicht verhindern oder aufdecken. Weiterhin sind Prognosen zur Beurteilung der Wirksamkeit in künftigen Perioden mit dem Risiko behaftet, dass Kontrollen wegen geänderter Verhältnisse nicht mehr angemessen sind oder sich der Grad der Einhaltung vorhandener Richtlinien und Verfahren verschlechtert.
Nach unserer Überzeugung trifft das Urteil des Managements, dass Alcon, Inc. zum 31. Dezember 2007 über ein wirksames internes Kontrollsystem der Finanzberichterstattung verfügte, in allen wichtigen Aspekten zu; diese Einschätzung stützt sich auf die Kriterien, die das Committee of Sponsoring Organizations of the Treadway Commission (COSO) in seinem Arbeitspapier Internal Control-Integrated Framework“ festlegte.

Dezember 2007 und 2006 sowie die Konzerngewinn- und -verlustrechnungen, die Eigenkapitalveränderungsrechnungen und die Kapitalflussrechnungen für die drei Geschäftsjahre bis zum 31. (1) Zusammenfassung der maßgeblichen Bilanzierungs- und Bewertungsmethoden
(a) Angaben über die Geschäftstätigkeit
Alcon, Inc. („Alcon“), eine schweizerische Kapitalgesellschaft, ist eine vollständige Tochtergesellschaft der Nestlé S.A. („Nestlé“). Die Hauptgeschäftstätigkeit der Alcon, Inc. und ihrer Tochtergesellschaften (gemeinsam die „Gesellschaft“ genannt) besteht in der Entwicklung, Herstellung und Vermarktung von pharmazeutischen Erzeugnissen, chirurgischen Einrichtungen und Geräten, Pflegelösungen für Kontaktlinsen und Produkten zur Behandlung von Augenkrankheiten und -beschwerden sowie in der Förderung der allgemeinen Gesundheit und Funktionsfähigkeit des menschlichen Auges. Aufgrund ihrer weltweiten Geschäftsaktivitäten bestehen keine wesentlichen Konzentrationsrisiken für die Gesellschaft.
(b) Grundsätze der Konsolidierung
Der Konzernabschluss enthält die Finanzinformationen der Gesellschaft. Alle wesentlichen konzerninternen Salden und Transaktionen wurden bei der Konsolidierung eliminiert. Sämtliche konsolidierten Konzerneinheiten werden auf Basis eines Kalenderjahres einbezogen.
(c) Schätzungen der Geschäftsleitung
Die Geschäftsleitung der Gesellschaft hat verschiedene Schätzungen vorgenommen und Annahmen getroffen, die Einfluss auf die angegebenen Beträge für Vermögenswerte und Verbindlichkeiten sowie Eventualforderungen und verbindlichkeiten haben, um den Abschluss gemäß den in den USA anerkannten Rechnungslegungsgrundsätzen aufzustellen („US GAAP“). Die tatsächlichen Resultate können von diesen Schätzungen abweichen.
(d) Währungsumrechnung
Die Berichtswährung der Gesellschaft ist der US-Dollar. Zur Feststellung der Vermögens-, Finanz- und Ertragslage ihrer ausländischen Tochtergesellschaften wird grundsätzlich die Landeswährung als funktionale Währung verwendet. Die Vermögenswerte und Verbindlichkeiten dieser Tochtergesellschaften wurden mit dem Wechselkurs am Ende einer jeden Periode umgerechnet. Erträge und Aufwendungen wurden zu den gewichteten Durchschnittskursen im Berichtszeitraum umgerechnet. Gewinne und Verluste aus Umrechnungsdifferenzen werden im kumulierten Other Comprehensive Income erfasst. Die Auswirkung von Tochtergesellschaften in Ländern mit Hochinflationswährung ist unbedeutend. Gewinne und Verluste aus Fremdwährungsgeschäften sind im nichtbetrieblichen Ergebnis enthalten. Nach schweizerischem Gesellschaftsrecht muss Alcon etwaige Dividenden auf Stammaktien in Schweizer Franken erklären.
(e) Zahlungsmittel und Zahlungsmitteläquivalente
Zu den Zahlungsmitteläquivalenten gehören Sichteinlagen und alle äußerst liquiden Finanzinvestitionen mit Ursprungslaufzeiten von bis zu drei Monaten.
(f) Vorräte
Vorräte werden mit dem niedrigeren Wert aus Anschaffungs- oder Herstellungskosten und dem Marktwert angesetzt. Zur Ermittlung der Anschaffungs- oder Herstellungskosten wird in erster Linie die Verbrauchsfolge nach dem First-in-First-out-Verfahren herangezogen.
(g) Anlagen in Wertpapieren
Die Gesellschaft hält Wertpapiere unterschiedlicher Arten, Laufzeiten und Gattungen.
Wertpapiere des Handelsbestands. Handelspapiere werden zum Fair Value angesetzt. Aus Fair-Value-Änderungen entstehende Gewinne oder Verluste werden laufend erfolgswirksam erfasst. Der Ausweis der Gewinne oder Verluste aus solchen Fair-Value-Änderungen erfolgt in der Konzerngewinn- und -verlustrechnung unter „Übrige, netto“.
Zur Veräußerung verfügbare Wertpapiere. Zu den Wertpapieren, die als zur Veräußerung verfügbar eingestuft werden, gehören marktgängige Schuld- und Beteiligungstitel. Zur Veräußerung verfügbare Wertpapiere werden mit dem Fair Value bewertet. Unrealisierte Gewinne und Verluste sind unter Berücksichtigung von Steuern im Eigenkapital enthalten. Beim Wertpapierverkauf wird die Einzelbewertungsmethode angewendet. Der Ausweis realisierter Gewinne und Verluste aus dem Verkauf dieser Wertpapiere erfolgt in der Konzerngewinn- und -verlustrechnung unter „Übrige, netto“.

Bei einer Wertminderung von Wertpapieren, die nicht kurzfristiger Natur ist, erfolgt eine ergebniswirksame Abschreibung auf den Fair Value.
Bis zur Endfälligkeit gehaltene Wertpapiere. Es existieren keine bis zur Endfälligkeit gehaltenen Wertpapiere.
Gliederung in kurzfristige/langfristige Laufzeiten. Die Gesellschaft behandelt alle liquiden verzinslichen Wertpapiere mit einer Fälligkeit von bis zu drei Monaten als Zahlungsmitteläquivalente. Schuldtitel mit Fälligkeiten zwischen drei Monaten und einem Jahr werden als kurzfristige Wertpapiere eingestuft. Grundsätzlich werden Schuldtitel mit Restlaufzeiten von über einem Jahr als langfristige Wertpapiere eingestuft. Wertpapiere mit Fälligkeiten von über einem Jahr können jedoch als kurzfristige Wertpapiere eingestuft werden, wenn sie äußerst liquide sind und Barmittel darstellen, die für das laufende Geschäft verfügbar sind.
(h) Finanzinstrumente
Die Gesellschaft setzt in begrenztem Umfang verschiedene derivative Finanzinstrumente ein, um die Risiken zu steuern, die mit Zins- und Währungsschwankungen innerhalb der nächsten zwölf Monate verbunden sind. Sie beurteilt den Einsatz von Zinsswaps und setzt solche Geschäfte regelmäßig ein, um das Zinsrisiko ausgewählter Schuldtitel zu kontrollieren.
Die Gesellschaft schließt regelmäßig Devisenterminkontrakte ab, um sich gegen unerwünschte Auswirkungen von Wechselkursänderungen auf bestimmte konzerninterne Transaktionen und Transaktionen mit Dritten, die auf Fremdwährungen lauten, abzusichern. Bei Devisenterminkontrakten werden die Wechselkurse festgelegt, zu denen die Gesellschaft zu einem späteren Zeitpunkt einen vereinbarten Betrag in einer bestimmten Währung kauft oder verkauft. Im Rahmen dieser kurzfristigen Terminkontrakte erhält oder zahlt die Gesellschaft die Differenz zwischen dem vereinbarten Devisenterminkurs und dem Wechselkurs am Abwicklungstag.
Sämtliche derivativen Finanzinstrumente der Gesellschaft werden mit ihrem Fair Value angesetzt. Bei derivativen Instrumenten, die die Voraussetzungen für eine Behandlung als Fair-Value-Hedges erfüllen, werden Gewinne oder Verluste aus den Sicherungsgeschäften ergebniswirksam als Saldo der Fair-Value-Änderungen aus dem Derivat und den abgesicherten Vermögenswerten oder Verbindlichkeiten berücksichtigt. Bei derivativen Instrumenten, die die Voraussetzungen für eine Behandlung als Cashflow-Hedges erfüllen, werden Wertänderungen in dem Umfang, in dem das Sicherungsgeschäft effektiv ist, im kumulierten Other Comprehensive Income ausgewiesen und in den Perioden in die Ergebnisrechnung umgebucht, in denen auch das Grundgeschäft ergebniswirksam wird.
(i) Sachanlagen
Die Gegenstände des Sachanlagevermögens werden mit den Anschaffungs- oder Herstellungskosten bewertet. Ergänzungen, Generalüberholungen und wesentliche Verbesserungen über den ursprünglichen Zustand der Sachanlagen hinaus werden aktiviert, Reparatur- und Instandhaltungskosten dagegen aufwandswirksam erfasst. Beim Abgang werden der Buchwert und die kumulierte Abschreibung ausgebucht und die resultierenden Gewinne oder Verluste ergebniswirksam erfasst.
Die Abschreibung auf Sachanlagen erfolgt linear über die wie folgt angenommene Nutzungsdauer:
Grundstückseinrichtungen 25 Jahre
Gebäude und Gebäudeeinbauten 12-50 Jahre
Maschinen, sonstige Ausrüstung und Software 3-12 Jahre
(j) Geschäfts- oder Firmenwerte und immaterielle Anlagen, netto
Geschäfts- oder Firmenwerte werden nicht abgeschrieben, sondern mindestens jährlich auf ihre Werthaltigkeit geprüft. Immaterielle Anlagen mit zeitlich schätzbarer Nutzungsdauer werden über die geschätzte Nutzungsdauer auf ihre Restwerte abgeschrieben. Sie werden auf ihre Werthaltigkeit überprüft, wenn ein Ereignis eintritt, das auf eine Wertminderung hindeuten könnte.
Immaterielle Anlagen umfassen die Kundenbasis, Marken, Patente und lizenzierte Technologien. Die Kosten der immateriellen Anlagen werden linear über ihre voraussichtliche Nutzungsdauer, die zwischen 4 und 20 Jahren liegt, abgeschrieben.

(k) Wertminderungen
Gegenstände des Anlagevermögens und bestimmte identifizierbare immaterielle Anlagen werden auf ihre Werthaltigkeit untersucht, wenn Ereignisse oder veränderte Rahmenbedingungen Anlass zur Vermutung geben, dass der Buchwert nicht mehr werthaltig sein könnte. Die Werthaltigkeit von dauerhaft der Unternehmenstätigkeit dienenden Vermögenswerten wird durch einen Vergleich des Buchwerts mit den künftigen Nettocashflows ermittelt, die der Vermögenswert voraussichtlich generiert. Ergibt sich daraus eine Wertminderung, wird diese in Höhe des Betrags erfasst, um den der Buchwert der Vermögenswerte ihren Fair Value übersteigt. Zu veräußernde Vermögenswerte werden zu dem niedrigeren Wert aus dem Buchwert oder Fair Value abzüglich der Veräußerungskosten ausgewiesen.
(l) Pensions- und sonstige Versorgungspläne
Die Gesellschaft unterhält mehrere beitrags- und leistungsorientierte Pensionspläne sowie einen Gesundheitsfürsorgeplan für Rentner.
Sie bildet dafür Rückstellungen, indem sie die laufenden Leistungen für die erdienten Versorgungsansprüche über die voraussichtliche Dienstzeit der Mitarbeiter, die leistungsorientierten Plänen angeschlossen sind, ergebniswirksam verbucht. Zu Beginn eines jeden Jahres wird ein versicherungsmathematisch berechneter Betrag anhand von Bewertungsmethoden, mit denen die Kosten der Versorgungsleistungen den Dienstzeiten der Mitarbeiter zugeordnet werden, ermittelt. Derartige Bewertungsmethoden enthalten Annahmen über die prognostizierten Gehaltstrends und die Kostenentwicklung im Gesundheitswesen. Der nachzuverrechnende Dienstzeitaufwand wird im Allgemeinen über die verbleibende voraussichtliche Dienstzeit der angeschlossenen Mitarbeiter verteilt.
Zum 31. Dezember 2006 übernahm die Gesellschaft die Ansatz- und Offenlegungsvorschriften von Statement of Financial Accounting Standards („SFAS“) No.158 „Employers' Accounting for Defined Benefit Pension and Other Postretirement Plans, an amendment of FASB Statements No. 87, 88, 106 and 132(R)“. Nach Maßgabe von SFAS 158 muss der über- oder unterfinanzierte Status eines leistungsorientierten Pensionsplans (außer arbeitgeberunabhängigen Plänen) als Aktiv- oder Passivposten in der Bilanz ausgewiesen werden, wobei entsprechende Änderungen im Jahr ihres Auftretens im Other Comprehensive Income erfasst werden. Die Gesellschaft nimmt die Möglichkeit in Anspruch, vorerst die Anwendung der Bestimmung, wonach die Bewertung der Über- oder Unterdeckung des Plans auf den Bilanzstichtag zu erfolgen hat, aufzuschieben. Die Neuregelung zum Bewertungszeitpunkt des Planvermögens und der Leistungsverpflichtungen ist erstmals für Geschäftsjahre anzuwenden, die nach dem 15. Dezember 2008 enden. Nach SFAS No. 158 ist eine retrospektive Anwendung nicht zulässig. Folglich ist das kumulierte Other Comprehensive Income (Loss) zum 31. Dezember 2007 und 2006 nicht unmittelbar mit den Vorjahresbeträgen vergleichbar.
Die für beitragsorientierte Pläne erfassten Kosten beruhen auf dem Beitrag für die Periode.
(m) Erfassung von Umsatzerlösen
Die Gesellschaft erfasst Umsatzerlöse aus Produktverkäufen zu dem Zeitpunkt, an dem das rechtliche Eigentum auf den Kunden übergegangen ist und dieser die Gefahr des Untergangs trägt, mit Ausnahme von Umsatzerlösen für chirurgische Ausstattungen. Gehen das rechtliche Eigentum und die Gefahr des Untergangs zum Zeitpunkt des Versands auf den Kunden über, werden die Umsatzerlöse zum Zeitpunkt des Versands erfasst. Gehen das rechtliche Eigentum und die Gefahr des Untergangs zum Zeitpunkt der Lieferung auf den Kunden über, werden die Umsatzerlöse am Lieferdatum erfasst. Die Umsatzerlöse werden netto nach Abzug geschätzter Beträge für Rabatte und Warenrückgaben erfasst.
Die Gesellschaft erfasst Umsatzerlöse aus chirurgischen Ausstattungen zu dem Zeitpunkt, an dem das rechtliche Eigentum und die Gefahr des Untergangs auf den Kunden übergegangen und die Installation sowie eventuell erforderliche Schulungen abgeschlossen sind. Nutzungsabhängige Gebührenzahlungen für Refraktivlaser werden in der Periode erfasst, in der die Nutzung erfolgt.
Die Gesellschaft erfasst die Umsatzerlöse entsprechend dem United States Securities and Exchange Commission Staff Accounting Bulletin 104.
Bei der Erfassung von Umsatzerlösen aus dem Produktverkauf werden bestimmte zum Zeitpunkt des Verkaufs bekannte und schätzbare Posten wie Skonti, Nachlässe und Rabatte entsprechend Emerging Issues Task Force Issue 01-9, „Accounting for Consideration Given by a Vendor to a Customer (Including a Reseller of the Vendor’s Products)” als Erlösschmälerungen verbucht. Soweit eine Minderung des Rechnungsbetrags durch den Kunden zu erwarten ist, wird diese als Forderungsminderung und Erlösschmälerung berücksichtigt.
Unter Beachtung bestimmter staatlicher Rabattvorschriften (etwa für die US-Medicaid- und Medicare-Programme) und

bestimmter vertraglicher Vereinbarungen muss die Gesellschaft Kunden, deren Kunden oder staatlichen Stellen Nachlässe einräumen, die sich aus Obergrenzen für pharmazeutische Erzeugnisse und chirurgische Geräte ergeben. Abgegrenzte Erlösschmälerungen werden unter dem sonstigen kurzfristigen Fremdkapital erfasst.
Erlösschmälerungen für geschätzte Skonti, Rabatte und Nachlässe werden in der Periode erfasst, in der die entsprechenden Umsätze getätigt werden. Grundlage dafür sind die in der Vergangenheit erfassten Beträge sowie der Anteil am Umsatzerlös. Ferner werden auch die Auswirkungen berücksichtigt, die sich aus Änderungen der Verkaufspreise, Umsatztrends und Vertragsbedingungen sowie Änderungen von Gesetzen und Vorschriften ergeben.
Die Umsatzerlöse werden ohne Mehrwert- und ähnliche Steuern erfasst.
(n) Forschung und Entwicklung
Eigene Forschungs- und Entwicklungsaufwendungen werden bei ihrer Entstehung als Aufwand erfasst. Forschungs- und Entwicklungskosten Dritter werden aufwandswirksam verbucht, wenn die Aufträge durchgeführt oder festgelegte Meilensteine erreicht wurden.
(o) Vertriebs- und allgemeine Verwaltungskosten
Werbeaufwendungen werden in der Periode ihres Entstehens als Aufwand gebucht. In den Jahren 2007, 2006 und 2005 beliefen sich die Werbeaufwendungen auf $151.1, $130.4 and $128.8.
Die Fracht- und Versandkosten beliefen sich in den Jahren 2007, 2006 und 2005 auf $66.3, $56.6 and $49.1.
Gerichts- und Anwaltskosten werden in der Periode ihrer Entstehung als Aufwand erfasst.
(p) Ertrag¬steuern
Die Gesellschaft aktiviert bzw. passiviert für temporäre Differenzen zwischen der steuerlichen Bewertung eines Vermögensgegenstands oder einer Verbindlichkeit und den im Konzernabschluss angesetzten Beträgen latente Steuern und berücksichtigt latente Steuern auf steuerliche Verlustvorträge. Änderungen der Steuersätze und Steuergesetze wirken sich für diejenigen Jahre auf die latenten Ertragsteuern aus, in denen sich die temporären Differenzen voraussichtlich auflösen. Sie werden in der Berichtsperiode ausgewiesen, in der die Steuersätze und Steuergesetze verabschiedet werden. Es wurden Rückstellungen für Quellensteuern auf noch nicht abgeführte Gewinne von Tochtergesellschaften gebildet, die zeitlich nicht unbegrenzt reinvestiert werden. Dividenden, die von Tochtergesellschaften an Alcon, Inc. ausgekehrt werden, unterliegen keinen Ertragsteuern in der Schweiz.
(q) Ergebnisse je Stammaktie, unverwässert und verwässert
Das unverwässerte Ergebnis je Stammaktie wurde ermittelt, indem der Jahresüberschuss durch den gewichteten Durchschnitt der in der jeweiligen Periode ausstehenden Stammaktien geteilt wurde. Der verfallbare Anteil der Aktien mit Sperrfrist wurde bei der Berechnung des gewichteten Durchschnitts der ausstehenden Stammaktien für das unverwässerte Ergebnis nicht berücksichtigt. Der gewichtete Durchschnitt der Stammaktien für das verwässerte Ergebnis bildet anhand der „Treasury Stock“-Methode die potenzielle Verwässerung für den Fall ab, dass die Aktienoptionen der Mitarbeiter und die aktienbasierten Wertsteigerungsrechte ausgeübt und die aktienbasierten Restricted Share Units und bedingten Aktien mit Sperrfrist unverfallbar würden.

Einige Führungskräfte der Gesellschaft hat die Annahme der Alcon 161.097 und 174.413 Stammaktien am 31. Dezember 2007 bzw. 2006 zurückgestellt, in der Alcon Executive Deferred Compensation Plan ( "DCP"),wie in Anm. 13 erläutert. Alcon Stammaktien in der DCP wurden t als ausstehende Stammaktien in der Konzernbilanz dargestellt und in den anwendbaren unverwässerte und verwässerte Ergebnis je Aktie Berechnungen einbezogen.
Die Berechnungen des verwässerten gewichteten Durchschnitt ausstehender Aktien für die Geschäftsjahre zum 31. Dezember 2007 und 2006 beinhalten nicht die folgenden Instrumente weil die Ausübung ihrer Preise und unerfasste Kosten mehr als der durchschnittliche Marktpreis der Stammaktien wurden.
Die Auswirkung ihrer Einbeziehung hätte Anti-Verwässerungseffekt.
Die Wirkung der anti-verwässerten Aktienoptionen wurde im Jahr 2005 nicht signifikant, und keine aktienbasierte Wertsteigerungsrechte wurde vor 2006 gewährt.
(r) Comprehensive Income
Das Comprehensive Income besteht aus dem Jahresüberschuss, Anpassungen aus der Währungsumrechnung, unrealisierten Gewinnen (Verlusten) aus Anlagen in Wertpapieren, die Änderungen in der Finanzierungsstatus der leistungsorientierten Plänen (im Jahr 2007 anfangen) und in den Jahren 2006 und 2005 der Anpassung der Mindestpensionsverpflichtung. Es wird in der Eigenkapitalveränderungsrechnung des Konzerns ausgewiesen.
(s) Aktienbasierte Vergütung
Zum 1. Januar 2006 übernahm die Gesellschaft SFAS 123(R) „Share-Based Payment“. Diese Regelung ersetzt SFAS 123 „Accounting for Stock-Based Compensation“ und tritt an die Stelle von Accounting Principles Board („APB”) Opinion 25 „Accounting for Stock Issued to Employees”. Nach Maßgabe von SFAS 123(R) müssen Bewertung und Ansatz der Vergütungsaufwendungen für alle aktienbasierten Vergütungen, die Mitarbeitern und Organmitgliedern gewährt werden, anhand geschätzter „Fair Values“ erfolgen.
Die Gesellschaft verwendete für die Umstellung auf SFAS 123(R) die modifizierte prospektive Methode. Nach dieser Methode enthielt der für das Geschäftsjahr zum 31. Dezember 2007 erfasste Vergütungsaufwand:
(a) den Aufwand für alle aktienbasierten Vergütungen, die vor dem 1. Januar 2006 gewährt, aber bis zu diesem Zeitpunkt noch nicht unverfallbar waren, beruhend auf dem „Fair Value“ zum Gewährungszeitpunkt, der gemäß den ursprünglichen Bestimmungen von SFAS 123 geschätzt wurde, und
(b) den Aufwand für alle nach dem 1. Januar 2006 gewährten aktienbasierten Vergütungen, beruhend auf dem „Fair Value“ zum Gewährungszeitpunkt, der nach den Bestimmungen von SFAS 123(R) geschätzt wurde.
Periodenüberschuss für das am 31. Dezember 2007 und 2006 abgeschlossene Geschäftsjahr war der Effekt von SFAS 123(R) enthalten. In Übereinstimmung mit der modifizierten prospektiven Methode wurden die Konzernabschlüsse für die Vorjahre nicht rückwirkend angepasst, um den Effekt von SFAS 123(R) zu berücksichtigen. Deshalb ist das Ergebnis für das Geschäftsjahr zum 31. Dezember 2007 und 2006 nicht unmittelbar mit den Vorjahresergebnissen vergleichbar.
Nach Maßgabe von SFAS 123(R) müssen Unternehmen den „Fair Value“ aktienbasierter Vergütungen zum Gewährungszeitpunkt anhand eines Optionspreismodells schätzen. Der Wert der als Vergütung gewährten Instrumente, die voraussichtlich unverfallbar werden, ist über den Erdienungszeitraum als Aufwand zu erfassen. Der für das Geschäftsjahr zum 31. Dezember 2007 und 2006 ergebniswirksam erfasste Aufwand für aktienbasierte Vergütungen beruhte auf denjenigen Zuteilungen, die voraussichtlich unverfallbar werden. Er versteht sich folglich ohne die geschätzten verwirkten Ansprüche. Nach SFAS 123(R) sind verwirkte Ansprüche zum Gewährungszeitpunkt zu schätzen. Die Schätzungen sind erforderlichenfalls in späteren Perioden zu revidieren, wenn die tatsächlich verwirkten Ansprüche wesentlich von den Erwartungen abweichen. Nach SFAS 123(R) sind ferner Zahlungen bzw. verrechneter Steueraufwand aufgrund von Steuervorteilen, die den anteiligen Aufwand für die aktienbasierten Vergütungen übersteigen, in der Kapitalflussrechnung als Mittelzuflüsse aus Finanzierungstätigkeit und nicht aus gewöhnlicher Betriebstätigkeit auszuweisen.

Vor der Umsetzung von SFAS 123(R) wendete die Gesellschaft bei der Bilanzierung aktienbasierter Vergütungen für Verwaltungsräte, Führungskräfte und Mitarbeiter im Rahmen des „2002 Alcon Incentive Plan“ die Bewertung nach dem inneren Wert gemäß APB Opinion 25 und den entsprechenden Interpretationen an. Nach dieser Methode wurde kein Aufwand für Mitarbeiteraktienoptionen in der Ergebnisrechnung berücksichtigt, da der Ausübungspreis für sämtliche gewährten Optionen dem Marktwert der zugrunde liegenden Stammaktien zum Gewährungszeitpunkt entsprach. In den Proforma-Angaben, die gemäß SFAS 123 für die Perioden vor dem Geschäftsjahr 2006 erforderlich sind, wurden die verwirkten Ansprüche im Zeitraum der Anspruchsverwirkung berücksichtigt.
Die Gesellschaft erfasst latente Steueransprüche aus aktienbasierten Vergütungen, die zu Abzügen in den Ertragsteuererklärungen führen, auf der Grundlage des erfassten Vergütungsaufwands und des gesetzlichen Steuersatzes in dem Land, in dem der Abzug erfolgt. Unterschiede zwischen latenten Steueransprüchen in der Finanzberichterstattung und der tatsächlichen Steuerminderung in der Ertragsteuererklärung werden in der Kapitalrücklage (wenn die Steuerminderung höher als der latente Steueranspruch ist) oder in der Konzerngewinn- und –verlustrechnung (wenn der latente Steueranspruch höher als die Steuerminderung ist und keine Kapitalrücklage aus früheren Zuteilungen existiert) erfasst.
(t) Eigene Aktien
Zur Bilanzierung eigener Aktien wird das Anschaffungskostenprinzip angewendet. Der Verwaltungsrat hat den Erwerb von Alcon-Stammaktien zu verschiedenen Zwecken, wie in Anm. 12 erläutert, genehmigt.
(u) Rückstellungen für Garantieverpflichtungen
Die Gesellschaft räumt für chirurgische Ausstattungen grundsätzlich eine Gewährleistung von einem Jahr ab dem Zeitpunkt der Installation ein. Die Gewährleistungskosten werden zum Zeitpunkt des Verkaufs geschätzt und ergebniswirksam erfasst. Die resultierende Rückstellung wird über den Gewährleistungszeitraum verteilt. Die Schätzungen beruhen auf den in der Vergangenheit entstandenen Gewährleistungskosten.
(v) Umgliederungen

a) Im Geschäftsjahr 2002 entschieden sich einige Alcon-Mitarbeiter, ihre Anteile am „1994 Phantom Stock Plan“ in Alcon-Stammaktien mit Sperrfrist und Optionen auf den Kauf von Alcon-Stammaktien umzuwandeln. Die (im Eigenkapital berücksichtigte) Entgeltumwandlung im Zusammenhang mit den Aktien mit Sperrfrist minderte sich um $ 2.6. Diese Beträge wurden ergebniswirksam am 31 Dezember 2005 verbucht und als Anpassungen des Mittelzuflusses aus betrieblicher Tätigkeit abgebildet.
b) In den Geschäftsjahren zum 31. Dezember 2007, 2006 und 2005 beendeten einige Personen das Beschäftigungsverhältnis, bevor sie unverfallbare Anwartschaften auf ihre Alcon-Stammaktien mit Sperrfrist erwarben, und verwirkten damit in jedem dieser Jahre den Anspruch auf 8,969 , 3,737 und 3,817 Stammaktien mit Sperrfrist. (Vgl. die Erläuterungen zu den Aktien mit Sperrfrist in Anm. 12.) Die nicht beanspruchten Aktien wurden dem Eigenbestand zugeordnet.
c) In den Geschäftsjahren 2007, 2006 und 2005 wurden Dividenden in Höhe von $ 0,3, $ 0,2 bzw. $ 0,3 auf Alcon-Stammaktien, die zuvor dem „Alcon Executive Deferred Compensation Plan“ zugeführt wurden, nicht in bar ausgezahlt, sondern bis zur Lieferung in Aktien der Kapitalrücklage gutgeschrieben.

In den Geschäftsjahren 2006 und 2005 wurden 737 bzw. 911 eigene Aktien an Teilnehmer des Plans geliefert. Sie entsprachen bereits erklärten Dividenden auf Stammaktien, die aus diesem Plan eingezogen wurden. Keine solchen Aktien sind im Jahr 2007 ausgeliefert.
d) Im Geschäftsjahr 2005 erwarb die Gesellschaft gegen Leistung bestimmter fester Zahlungen die Patentrechte an bestimmten Produkten.
