TECHNICAL INFORMATION
5.1 The technical information furnished to each party hereunder, directly or indirectly, in writing or otherwise, shall be used by such party only for the purposes intended when furnished and shall not be duplicated or disclosed to others or used in whole or in part for any other purpose except to the extent such party has rights under a separate agreement with the other party; and except that COMPANY may furnish portions of such information, to the extent necessary for the intended use, to others who have agreed in writing to restrict the duplication, disclosure and use thereof as provided herein; and except to the extent necessary for XXX to conduct its business. The foregoing restrictions shall not apply to any portion of said information (i) which was developed by the recipient party and was in the recipient party's possession before its receipt from the other party; (ii) which at the time of its disclosure to the recipient party by the other party is, or thereafter becomes through no act or failure to act on the part of the recipient party, part of the public domain by publication or otherwise; or (iii) which has been rightfully furnished to the recipient party by a third party without restriction on disclosure or use. The occurrence of any of the above exceptions shall not be construed as an express or implied grant of any rights under any of either party's patents. An individual feature of technical information shall not be considered within the above exceptions merely because the feature is embraced by more general information within the exceptions. A combination of features of technical information shall not be considered within the above exceptions unless the combination itself and its principle of operation are within the exceptions.
5.2 Upon COMPANY's written request, XXX will furnish to COMPANY one reproducible transparency of each of XXX's flow diagrams, detailed drawings, and project specifications furnished by XXX hereunder. Notwithstanding the provisions of Article 5.1 relating to duplication, COMPANY may make copies from such transparencies, but COMPANY shall use such transparencies and any copies made therefrom only in connection with the construction, alteration, maintenance, repair and operation of the Processing Equipment for which they were furnished. COMPANY shall make no changes to such transparencies or any copies made therefrom except to add references in connection with COMPANY's standard specifications and drawings or references in connection with other drawings or specifications which COMPANY may prepare for the Processing Equipment for which such transparencies were furnished. COMPANY shall return all transparencies furnished hereunder upon XXX's request therefor.

TEHNIČKE INFORMACIJE
5.1 Tehničke informacije dostavljene obema stranama po ovom ugovoru, direktno ili indirektno, u pisanoj formi ili drukčije, koristiće samo ta strana za svrhe za koje su namenjene prilikom dostavljanja i neće biti umnožavane ili odavane drugima ili korišćene u celini ili delomično za bilo koju svrhu osim u razmerama do kojih ta strana ima prava po separatnom ugovoru sa drugom stranom; a osim da ako KOMPANIJA možda dostavi delove tih informacija, do mere neophodne za namenjenu upotrebu, drugima koji su se saglasili u pisanoj formi da će ograničiti umnožavanje, otkrivanje i upotrebu istih kako je predviđeno ovim ugovorom; i osim do mere potrebne da XXX vodi svoje poslovanje. Gornje restrikcije neće se primenjivati na svaki deo pomenutih informacija (i) koji je razvila prijemna strana i koji je bio u posedu prijemne strane pre prijema istog od druge strane; (ii) koji je u vreme otkrivanja prijemnoj strani od strane druge strane ili nakon toga postao delovanjem ili nedelovanjem prijemne strane, deo javnog domena objavljivanjem ili na drugi način; ili (iii) koji je legitimno dostavljen prijemnoj strani od strane trećeg lica bez restrikcije u pogledu obznanjivanja i upotrebe. Pojava bilo kog od gornjih izuzetaka neće se tumačiti kao eksplicitan ili implicitan prenos prava po pitanju patenata bilo koje od strana. Pojedinačna svojstva tehničkih informacija neće se razmatrati unutar gornjih izuzetaka samo zato što je to svojstvo okruženo sa više opštih informacija unutar tih izuzetaka. Kombinacija svojstava tehničkih informacija neće se razmatrati unutar gornjih izuzetaka osim ako sama kombinacija i njen princip rada nisu unutar izuzetaka.
5.2 Na pisani zahtev KOMPANIJE, XXX će dostaviti KOMPANIJI po jednu transparentnu kopiju svakog protočnog dijagrama XXX koji se može reprodukovati, detaljnih crteža, te projektne specifikacije koje XXX dostavlja u skladu sa ovim ugovorom. Unatoč odredbama Člana 5.1 koje se odnose na umnožavanje, KOMPANIJA može praviti kopije ovih transparentnih kopija, ali će KOMPANIJA koristiti ove transparentne kopije i sve kopije načinjene sa njih samo u vezi sa gradnjom, izmenom, održavanjem, popravkom i radom Procesne Opreme za koju su dostavljeni. KOMPANIJA neće činiti nikakve izmene na tim transparentnim kopijama ili bilo kojim kopijama načinjenim sa njih osim da doda reference u vezi sa standardnim specifikacijama KOMPANIJE te crtežima ili referencama u vezi sa drugim crtežima ili specifikacijama koje je KOMPANIJA možda pripremila za Procesnu Opremu za koju su ti transparentni crteži dostavljeni po ovom ugovoru na zahtev XXX za istim.
