Y is a well-known active substance and its use by nebulisation in humans has been well established since 1990. Y is a glucocorticosteroid, which possesses a potent local anti- inflammatory action with a lower incidence and severity of adverse effects than those seen with oral corticosteroids. Y is used for the treatment of bronchial asthma.
X’s Y Drug was developed to be therapeutically equivalent to P in which the active ingredient (Y) is un-dissolved and all of the inactive ingredients (excipients) are dissolved in the suspending liquid. As all the ingredients (active and inactive) are qualitatively and quantitatively the same the only potential difference between the test and reference product would be in the suspendability properties of Y active ingredient in the drug product, and this will be assessed by analyzing the Particle Size Distribution (PSD). If equivalence is successful in demonstrating the Particle Size Distribution between the generic (X) Y Suspension and P (reference) is seen, then it can also be expected that the drug delivery will be at the same rate and extent at the site of action (i.e., the lungs). The basis being an identical nebulizer device operating at the same parameters is used in the studies to compare the reference and test product.
Assuming equivalence is demonstrated in the Particle Size Distribution; systemic availability would also be expected to be equivalent because the amount of Y absorbed into the blood stream after passing through the lungs would be consistent. The efficacy and safety of the medicinal product will depend on the amount of active substance that reaches the lung and on the deposition site distribution. In addition, the safety will also be influenced by the rate and extent of systemic absorption from the gastrointestinal tract (i.e. the swallowed fraction).

Clause 3. Obligations of the Lessee
3.1 Subject to Clause 3.2, during the Lease Term, the Lessee shall have and retain exclusive
possession, command and control, of the Aircraft. Accordingly, the Lessee shall, either itself or through third party service provider, have and retain complete and exclusive responsibility for scheduling, dispatching and flight flowing of the Aircraft on all flights, which responsibility includes the sole and exclusive right over initiating, conducting, and terminating any such flight(s). The obligations of the Lessee are as follows:
(a) The Lessee will ensure that the Aircraft is used and operated in a careful and proper manner and in compliance with all applicable laws and regulations of each jurisdiction in which the Aircraft is used and operated, and the Lessee will comply with all applicable rules and regulations of the Civil Aviation Administration of China (the "CAAC"), including without limitation the General Rules for Operation and Flights (otherwise known as "CCAR-91"), and all other applicable laws, regulations, decrees, legislative or judicial interpretations and administrative orders of the PRC in relation to aviation (collectively the "PRC Regulations", which expression includes any amendments thereof from time to time).
(b) The Lessee will use, operate and maintain the Aircraft with all reasonable care and in accordance with all applicable insurance-related mandatory requirements and restrictions. The Aircraft will be maintained by properly licensed and qualified mechanics and, to the extent applicable, will be maintained and operated in accordance with the recommendations of the Manufacturer and in accordance with requirements from time to time imposed (directly or indirectly) by any national or regional civil aviation authority or administrative organization in the PRC (the "PRC Authorities") in order to permit unrestricted operation under the PRC Regulations and CCAR-91 in particular.
(c) The Lessee will (i) maintain all logbooks, flight manuals, repair, maintenance and overhaul records applicable to the Aircraft, and other records as required; (ii) supervise all flights; (iii) employ and/or contract and manage professionally qualified pilots who will be familiar with and licensed to operate the Aircraft to conduct all operations involving the Aircraft; (iv) perform or otherwise manage and supervise all required maintenance involving the Aircraft so as to keep the Aircraft in good operating condition, ordinary fair wear and tear excepted; (v) process all service and warranty claims involving the Aircraft to the extent specified in this Agreement; (vi) obtain all required aircraft-related licences and permits; and (vii) cause the Aircraft to be registered and certified airworthy in the PRC, in each case in accordance with all applicable PRC Regulations and, where relevant, the Manufacturer’s requirements.
(d) The Aircraft will be based at XXX, the PRC or such other location as may be mutually agreed between the Parties.
(e) Each flight crew assigned to work in the Aircraft will be fully qualified, certified and licensed to operate the Aircraft while it is registered in the PRC and will meet all requirements imposed by all applicable PRC Regulations, and will conduct all flight operations with the degree of skill customarily required in the industry for similar operations.
(f) The Lessee will manage the inspection, maintenance, repair, overhaul and condition of the Aircraft so that the Aircraft may be operated on an unrestricted basis pursuant to the PRC Regulations. The Lessee agrees to comply, or arrange compliance with all airworthiness directives and mandatory service bulletins from time to time issued by the Manufacturer and/or the PRC Authorities which apply to the Aircraft and which require compliance in order to maintain the airworthiness of the Aircraft on an unrestricted basis under CCAR-91.
(g) The Lessee will perform its obligations hereunder in a manner which will ensure that no lien,
interest or other encumbrance will exist against the Aircraft. Should any such lien, interest or other encumbrance arise, then the Lessee will immediately take such actions necessary to remove such lien, interest or other encumbrance. | Translation - Chinese
