Polish to English: "Ogrzewanie elektryczne" - translation from Polish into English General field: Tech/Engineering
Source text - Polish Ogrzewanie elektryczne
Ciągle rosnące, w „niekontrolowany” sposób ceny najpopularniejszych do niedawna nośników energii cieplnej, mianowicie oleju i gazu, sprzyjają podejmowaniu decyzji inwestorom.
Zalety przedstawianego systemu ogrzewania:
bardzo niski średni koszt ogrzewania,
nowoczesność systemu połączona z komfortem eksploatacji,
łatwość rozliczania kosztów użytkowania,
wysoce ekonomiczna eksploatacja dzięki wykorzystaniu tańszej taryfy,
długotrwałość bezawaryjnej pracy urządzeń,
możliwość pełnej kontroli temperatur w poszczególnych pomieszczeniach,
optymalne wykorzystanie energii przez zastosowanie sterowania pogodowego,
bardzo niskie koszty konserwacji,
3 letni okres gwarancji oraz serwis pogwarancyjny.
Translation - English Electric heating
Electric heating has been more and more and popular among investors for some time. It has become more and more popular both among the biggest investors who construct multi-family houses and public utility buildings and among small investors who make their dreams come true by building their own detached houses. And it is not surprising that electric energy is increasingly used for heating purposes. The constant and ”uncontrolled” rise in the price of the most popular carriers of thermal energy, such as oil and gas, is conducive to taking decisions by investors. It is also worth noticing that a wide range of electric heating appliances is on offer and each investor can find a system optimal for his applications. The electrical heating systems for buildings are completely maintenance free, which means that a properly designed and produced system is started in autumn and switched off in spring. The whole maintenance process of the heating system is performed by the automatics in the form of temperature regulators and weather controllers. Electric heating means comfort, cleanness and a sense of highest security. It also means significant savings at the stage of the investment process for many reasons you can read about on our website.
We encourage you to visit our commercial offices where our employees and consultants will provide a comprehensive solution for every problem in the field of electric heating technology. They will also indicate the most optimal tariff group and provide reliable information on operational costs. Our motto is 100% customer satisfaction. Clients leaving our office are sure that the solutions they are offered are the best ones.
Dynamic storage heating
Accumulation heaters with dynamic discharge are modern and energy-saving heating appliances. They consume electricity during the so-called night fare, which reduces the costs in comparison with the central heating from the municipal network mains as well as oil or gas heating. The heat accumulated during the night fare is stored in an accumulation block of magnesite stone and it is released only when the temperature in the room drops below the level fixed by the user. This is done by means of the so-called controlled exhaust of warm air, which is blown through special channels of the accumulation core by a silent ventilator. Thanks to this solution, storage heaters ensure thermal comfort in the heated rooms twenty-four hours a day.
These devices use modern thermal insulation (microtherm, vermiculite, super-isol) preventing uncontrolled release of heat and ensuring a safe temperature of the accumulative heater casing. The heat accumulated inside the heater is only released when the controlling system gives such a command. On the other hand, the amount of the heat accumulated is controlled by the heater charge regulator, which takes into account the heat reserve of heat reserve remaining from the previous periods of heating of the accumulation block. The controller can be aided by a weather sensor, which adapts the amount of accumulated heat to the changing weather conditions and thus provides additional operational savings. The temperature in the room is controlled by wall temperature controllers characterized by a large accuracy of the temperature measurements, which makes it possible to maintain the right thermal microclimate in the rooms. The controllers offered by our company can be divided into standard and digital ones. The application of digital controllers ensures a widely understood freedom while setting temperature during the whole week with the allowance for times of the day. Such accurate daytime and weekly temperature settings mean additional energy savings.
Advantages of the heating system being offered:
very low average cost of heating,
modernity of the system combined with its comfort of operation,
easy settling of the operation costs,
highly economical operation due to the use of a cheaper tariff,
long-term trouble-free operation of the devices,
possibility of full temperature control in individual rooms,
optimal use of energy by means of weather control,
very low maintenance costs,
three-year warranty and post-warranty service.

[xxxxxx] takes hold of 50 shares, each with the value of PLN 500.00. The total value of the shares is PLN 25,000.00. The shares are covered with a cash contribution.
Section 8
1. The shares are transferable and they can be pledged. The shares can be transferred or pledged only in accordance with the provisions provided in this paragraph.
2. The shares can be freely transferred between the shareholders.
In all the other cases, the transfer or pledge of shares requires consent of the General Meeting of Shareholders granted in accordance with the principles defined below.
The shareholder who transfers or pledges his shares should notify the Management Board by registered mail with acknowledgement of receipt. This notification must include the name (business name) of the purchaser or the pledgee, the number of shares being transferred and the transfer price. The notification should also be sent by fax or telex for information.
Transfer or pledge of the shares to a third party requires consent given by a majority of 3/4 of the votes at the General Meeting of Shareholders, at which at least 75% of the initial capital of the company is represented.
The transferor or the pledger takes part in the vote.
If the General Meeting is not convened within 8 days after receiving the first notification, the transferor or the pledger shall send the Management Board a second notification by registered mail with acknowledgement of receipt. If the General Meeting is not convened within 30 days after receiving the second notification, this will be regarded as consent to the transfer or pledge.
It is considered that the consent was refused if a properly convened General Meeting was not able to cast a valid vote due to a lack of quorum.
If the General Meeting of Shareholders does not give its consent, the shareholder transferring his shares can renounce the transfer, of which he will notify the Management Board by registered mail with acknowledgement of receipt. If the Shareholder transferring his shares does not renounce the transfer, the Management Board convenes the second General Meeting of Shareholders.
In the notification about the second General Meeting, the Management Board shall inform each shareholder about his right of pre-emption, which should be exercised in the following way:
- a shareholder should inform the Management Board about his intention to exercise his right of pre-emption by registered mail with acknowledgement of receipt at least seven days before the General Meeting.
Failure to respond within the prescribed time limit is considered as a waiver of the right of pre-emption. The right of pre-emption is proportional to the number of shares owned by a shareholder.
If the right of pre-emption is exercised, the Management Board will immediately inform the transferring party. If the right of pre-emption has not been exercised in relation to all the shares subject to sale, the Management Board will appoint a new purchaser or will purchase the shares on behalf of the company. The transferring party may also renounce the right to transfer all the shares or only those shares in relation to which the right of pre-emption has not been exercised. In such a case the party will notify the Management Board by registered letter with acknowledgement of receipt.
The price proposed by the transferor is the price of the shares. If a dispute over the price of the transfer arises, the price will be established as the net value of shares revealed in the latest verified balance sheet prepared in accordance with the generally recognized international accounting standards.
3. The transfer of shares to a third party does not cause any changes in this deed of company formation.
4. The Company should be informed about each transfer of shares and it should receive copies of the transfer agreement.

3. A resolution of the General Meeting of Shareholders raising the initial capital is valid if it was adopted by the majority of 3/4 of the votes in the presence of shareholders representing 75% of the initial capital.
4. If the capital is raised, the shareholders have the right of pre-emption with respect to the new shares. They can take hold of the new shares in proportion to the shares they own, provided that each shareholder may individually renounce this right.
The shareholders should exercise the right of pre-emption within one month of receiving a registered letter from the Management Board with acknowledgement of receipt calling upon them to exercise their right of pre-emption.
The shares which are not taken hold of after the end of this period will be offered, in the first place, to the other shareholders in proportion to the shares in their possession. Then, the shares will be offered to third parties interested in joining the company.
