Source text - English I) Introduction
1. English contract Law permits the parties themselves to a contract to choose both 1) the jurisdiction in which they agree any future disputes arising out of or in connection with their contract are to be
resolved and 2) the law to be applied to such contracts. Under the fundamental English Law principle of freedom of contract, English Law respects the autonomy of the parties to themselves choose the forum for the resolution of their contractual disputes and applicable law and will respect and give effect to that choice by the parties as a matter of principle.
2. However there is no requirement or principle in English Law for the parties to be precise about the specific court, or its locality, when designating jurisdiction. It is sufficient for the parties to
choose the courts of a particular State. If they do so, any of the Courts of that State will have jurisdiction (subject to the internal rules of the State allocating jurisdiction between different Courts).
3. In this case, as summarised below, the parties chose to both 1) nominate English law to determine the contract and also 2) that the English Courts adjudicate any future dispute. A jurisdiction clause
conferring jurisdiction upon “the courts of England” or “the English Courts” is clearly valid and effective under English Law and is all that is legally required from the parties.
4. English Law contracts frequently contain jurisdiction clauses in these terms and are routinely given clear effect and validity by the English Courts. It is not necessary or required for parties to specify,
for example, a particular Court or division of the High Court, or to specify the physical location of the Court, whether in London or elsewhere.
5. Contrary to what the Respondent now argues, theoretical wording in such a clause would have no legal effect whatsoever in English Law and is not required. English Procedure Rules themselves govern which Court has authority and why, not the parties contractual intentions. If the parties did include a contract term attempting to nominate a specific court that has no legal standing and is of no legal effect in English law.
Translation - Portuguese I) Introdução
1. A lei contratual inglesa permite que as próprias partes de um contrato escolham, ambos: 1) a jurisdição na qual concordam que quaisquer disputas futuras decorrentes ou relacionadas a seu contrato devem ser resolvidas; 2) a lei a ser aplicada a tais contratos. De acordo com o princípio fundamental da lei inglesa de liberdade contratual, a lei inglesa respeita a autonomia das partes para escolher o foro para a resolução de suas disputas contratuais e a lei aplicável e respeitará e dará efeito a essa escolha pelas partes, por uma questão de princípio.
2. No entanto, não há exigência, ou princípio, na lei inglesa para que as partes sejam precisas sobre o tribunal específico, ou sua localidade, ao designar a jurisdição. Basta que as partes escolham os tribunais de um determinado Estado. Se o fizerem, qualquer um dos Tribunais desse Estado será competente (sujeito às regras internas do Estado que atribuem competência entre diferentes Tribunais).
3. Neste caso, conforme resumido abaixo, as partes optaram por: 1) nomear a lei inglesa para determinar o contrato; e também 2) que os tribunais ingleses julguem qualquer disputa futura. Uma cláusula de jurisdição que confira jurisdição a “tribunais da Inglaterra” ou “tribunais ingleses” é claramente válida e efetiva sob a lei inglesa e é tudo o que é legalmente exigido das partes.
4. Os contratos de direito inglês contêm frequentemente cláusulas de jurisdição nestes termos e rotineiramente recebem efeito e validade claros pelos tribunais ingleses. Não é necessário ou exigido que as partes especifiquem, por exemplo, um determinado Tribunal ou divisão do Supremo Tribunal, ou que especifiquem a localização física do Tribunal, seja em Londres ou em qualquer outro lugar.
5. Ao contrário do que o Requerido agora argumenta, a redação teórica em tal cláusula não teria qualquer efeito legal na Lei Inglesa e não é necessária. As próprias Regras de Processo Inglesas regem sobre qual Tribunal tem autoridade e porquê, não as intenções contratuais das partes. Se as partes incluíram um termo de contrato na tentativa de nomear um tribunal específico, isso não tem legitimidade e não tem efeito legal na lei inglesa.
