...does not prevent A from entering a contract
I am not quite sure if this is the most prevalent expression, but I think this conveys the meaning of the part you are asking.
You didn't ask, but do you know what 本契約と異なる事項 is supposed to mean? Literally it refers to items that are different from this Agreement. Does it make sense?

Prevention of cuts (shortening)
No interference with the matters that are different from this contract or shorten (its meaning?)
Example sentence:
きりあげる 切り上げる
りゃくす 略す

may agree...
(The parties hereto) may agree on any terms and conditions different from those set forth herein.
「約することを妨げない」は「約束(合意)することを妨げない」、つまり「約束(合意)することができる」ということで、この点はほぼ問題ないように思います。もっとも、英語の表現は、私の回答よりもっといい表現があると思います。(^^;) Good luck!

shall not preclude agreements
"Shall not preclude" is definitely the appropriate language in this context.
One of the following forms should work, depending on the grammar of the rest of the sentence:
"This agreement shall not preclude A [and B] from entering into any agreement that..."
"A [and B] shall not be precluded from entering into any agreement that..."

することを妨げない shall not preclude
【例】相手方が申立てをすることを妨げない this shall not preclude the adverse party from filing a motion
【例】当事者本人を尋問することを妨げない this shall not preclude the examination of the party

"約すること" refers to other agreements that the parties may reach. So the contract you're translating is "本契約," and later, separate agreements are not precluded by this 本契約. My best crack at the whole clause would be: "Nothing in this agreement shall preclude [A and/or B] from entering into a separate agreement to modify any of the terms or conditions set forth herein."

Note from asker:
Hi Shannon, "Shall not preclude" sounds good to me, but what about its paring with the verb "約すること"?" I don't quite get it... I would appreciate your comments. Thank you. |
Oops, I see that I spelled the word "pairing" wrong. I've got to get the record straight on that. But, I've got to admit that I'm still rather confused with this phrasing. |

: あげられている用例では、"shall not preclude"は「法令」の中で使われています。「契約書」ではありません。契約書中で使われる「妨げない」は、禁止(shall not)というよりは許可(may)であり、「shall not preclude"はニュアンスが違うと思っています。

"shall not" is a formal way of saying "will not" or "does not," and contracts are full of examples of such usage. "shall not" means more than "禁止" in formal English.
