This is a clause in a letter of intent that makes reference to shareholders' agreements. I've gotten a bit confused in the wordiness of this sentence, but can someone confirm my translation of "pari a 2xUtile netto di bilancio" is correct? Par. D refers to qualified majority capital operations if anyone is wondering.


-previsione di una put option a favore di XXX ed una call option a favore di YYY sull’intera quota di XXX da esercitarsi entro 6 mesi successivi alla scadenza dei tre anni, a seguito di mancato accordo sul rinnovo degli accordi sub d) ad un prezzo pari a 2xUtile netto di bilancio (media degli ultimi due esercizi) da proporzionarsi in relazione alla quota di XXX.

-the right of a put option for XXX and a call option for YYY on the entire sum of XXX’s shares, to be exercised within the last six months the shareholder agreement is in force resulting from dissent on the renewal of the operations in par. d), at a price equivalent to twice the net profit on the balance sheet (the average of the last two years) in proportion to XXX’s shares.

A couple of mistakes:

"Entro 6 mesi successivi alla scadenza dei tre anni" is "within six months of the end of the three-year period"

"A seguito di mancato accordo sul rinnovo degli accordi sub d)" is "If the parties do not renew the agreements referred to in d)".

You could leave out "Previsione di" and just say "A put option in favour of". "A right to a put option" is a tautology.
