Sorry to disagree with my illustrious colleagues, but "in parola" means "that have been promised". The best translation then could possibly be "subject to pre-emption rights", but I wanted it to be clear that these shares are not simply "mentioned earlier".
You have something similar in English: "I've given my word". This is the same "parola"(=word) that Italian is referring to.
