(1) Ergibt sich, insbesondere auch als Folge einer Außenprüfung, für Zeiträume bis zum 30. September 2002 ein Mehraufwand für von der Gesellschaft zu tragende oder abzuführende Steuern (einschließlich Gewerbesteuer) und Abgaben (einschließlich sozialversicherungsrechtliche Abgaben), der nicht durch entsprechende Passivposten (insbesondere Rückstellungen) im Zwischenabschluss zum 30.09.2002 (§ 9 Zwischenabschluss) Berücksichtigung gefunden hat, so ist die endgültige Abrechnungsbilanz nachträglich um den Mehraufwand zu berichtigen und der Earn Out gemäß § 3 (Kaufpreis, Eigenkapital, Earn Out) um diesen Mehraufwand zu ermäßigen. Dies gilt nicht für solche steuerlichen Mehraufwendungen, die Minderaufwendungen in einem Veranlagungszeitraum vor oder nach dem Übergangsstichtag nach sich ziehen (z. B. in Folge Periodenabgrenzung).

(1) If , also in particular as consequence of an external audit for periods through September 30, 2002, an additional expenditure with implications for increases and decreases of tax amounts carried forward (including trade tax) and employers contributions (including social security contributions) which has not been reflected in liability items (especially reserves) in the interim statement of 9/30/2002 (§ 9 interim statement), this additional expenditure must be reflected in the final account balance and the Earn Out reduced in accordance with § 3 (purchase price, equity capital, earn out) by the amount of this additional expenditure. This does not apply to such additional fiscal expenditures which represent lesser expenditures in a tax period before or after execution of this agreement (e.g. in consequence of period restrictions).

agree Beate Lutzebaeck : I guess the differentiation between "tragen" + "abführen" refers to the fact that companies also withhold taxes, eg for their staff, and pay those taxes (ie transfer them to IRD) without actually "bearing" them.
