German term

auf den Inhaber lautenden Stückaktien

The EUR x in share capital of the company, split into x registered ordinary shares with an interest of EUR x in the share capital, was increased to EUR x by a cash contribution of EUR x and the issuance of x no-par value bearer shares with a theoretical interest of EUR x in the share capital and entitlement to dividends from [Date].

I was just wanting to check that I have the share-related terms correct.

auf den Inhaber lautenden Stückaktien = no-par value bearer shares (with a theoretical interest...)
auf den Inhaber lautende Stammaktien = registered ordinary shares (with an interest...) [which isn't theoretical because they do have a par value]

Discussion

Adrian MM. (X) Nov 17, 2014:
@ asker with an interest You should post as a separate question: mit einem rechnerischen Anteil. Having no-par value doesn't mean the shares can't have an extrapolated mathematical ratio in relation to the authoris/zed capital.
scottmw90 (asker) Nov 16, 2014:
Thanks for your help so far. Am I right about the whole 'with an interest' versus 'with a theoretical interest', do you know? (Langenscheidt defines 'rechnerisch' as 'computed' but I found 'theoretical' from other Proz sources.)

no-par bearer shares

We've actually had this before, but as two separate questions.
You can leave out "value" and just say "no-par shares".

Also known as Inhaberstückaktien:

Maybe this should be a reference entry, but to be fair we haven't had this exact question before.

agree RobinB : Personally, I prefer “no-par value”, but this really is a matter of personal preference. And two hyphens really aren’t necessary!

i don't think "value" adds anything, but if you do include it, it's "no-par-value".
