French term

ne sont tenus à l'égard des tiers

French to English Bus/Financial Law (general)
Sauf exceptions légales, les associés ne sont tenus à l'égard des tiers qu'à concurrence du montant de leur apport.

I don't fully understand the terminology. It is from Articles of Association.

French term (edited): ne sont tenus à l\'égard des tiers
Selected

Are only liable to third parties...

up to the amount of their intitial contribution.

Its important here to emphasise that they are actually liable, but only in a limited sense (i.e. depending on their initial 'apport'.)

I'd try and focus on that rather than some of the previous, to keep it a single and clear sentence.

Thoughts?

neutral philgoddard : I think this is the same as Ellen's answer, except that she's put "only" in the right place.

neutral C G Mckee : Hey David, the problem here is then connecting the next part of the sentence. They are actually liable, just a limited form of liability, and I think you'd need to emphasise that first for clarity.

isn't that covered by the "... except ..." ?
agree AllegroTrans : ... except or "are only liable up to...."

Besides, my wording should be: "are not held liable by third parties."

Peer comment(s):

agree philgoddard : I think it's more elegant if you use a positive construction rather than the word "not".
