CC, for the purposes of discussion & feedback: gen. (dep on context of course) I translate executoire = enforceable / obligatoire = binding..

Put them together and it comes out as: "legally-binding replacement [provision]."

In case of conflict, the PARTIES are bound to agree in good faith to convene on an enforceable alternative provision replicating as faithfully as possible the initial intent of the PARTIES... literal, but hope it helps

That's the idea, but perhaps not the best phrase. Maybe someone can provide something better. ;-)
