Note: The following is NOT confidential. You can find it on the Internet. Eurolux was set up as a company through which commissions were transferred in connection with arms sales. I don't know how to translate "émanation ." The DCNI is the international branch of the French Naval Construction Bureau.

Ouverte en 2005, l'instruction des deux juges portait initialement sur les liens entre les sociétés de M. Thévenet et Eurolux, émanation de la DCNI, au Luxembourg, chargée de régler les dépenses occultes. Cette affaire avait, dans un premier temps, mis au jour des pratiques d'espionnage industriel.

Offshoot (definition) "Anything that branches off, or derives from, a main source; specif., a shoot or stem growing laterally from the main stem of a plant" [Websters]

Of course we could debate the "derives" in that definition, but for me Eurolux, having no degree on cosanguinité with DCNS, is not an offshoot.

It appears that Eurolux is NOT a subsidiary of DCNS. As in plants, "offshoot" suggests to me a "genetic", "bloodline" connection. It would appear though that, however closely the companies may be related, they are not physically related, no sperm was deposited, as it were, and Eurolux is an "emanation of the spirit", as it were, a child conceived on the wrong side of the blanket.

"Emanation", in its European sense given below, might work, given that although it is a private-sector company, DCNS has obvious State connections.

Otherwise "company set up by ...".

Since Simker has taken legal action against DCNS (http://www.judgments.im/content/J1009.htm), chances are it is not a subsidiary of the latter, so Eurolux would not be either.

If you want to risk a value judgement that isn't in the French, you could try "DCNS/DCNI shadow company" - which is used in some French texts concerning this affair. This does not necessarily mean société occulte as some of these sites suggest (though in this case it probably does) but simply "company that operates in the shadow of another, without being a part of that other company", just as a "shadow cabinet" is neither "occult" nor part of the governmental cabinet (though nor does it do the Cabinet's bidding).

Le 10 février, le parquet général du Luxembourg avait déjà transmis à Paris un compte rendu d'enquête montrant que Heine, qualifiée de «SHADOW COMPANY» (société occulte) par ses gérants, a été développée en 1994 sur avis du ministre du Budget Nicolas Sarkozy, alors membre du gouvernement Balladur.
