It's possible to be a MAnaging Director and not be on the board.
It is impossible to be a Managing Director and be non-executive. That is a contradiction in terms...
The hard part here is that non-executive director is used in the UK to mean Board Members who do not actively participate in the day to day management of the company..

This provides added control and improved corporate governance - ie there is an executive decision-making level above the CEO.
Please correct me if this is wrong (I'm more familiar with business structures in Irl and the UK), but I've got a feeling it's accurate.

: No Conor...this is not right..the DG is Managing Director..and he is very executive, as it were. He or she is just not a Board Member...DG is CEO in the US; Managing Director in the UK

This is faitly uncommon but it does exist. One has a non-executive Chairman more often.

Reading Jane's note above, I just wanted to add that, in the UK, a non-executive Manging Director can and does exist. It is also worth noting that a non-executive director IS, in actual fact, a member of the Board of Directors of a UK company - as I was on a number of different companies.

: Impossible..a Managing Director is the Top Executive but does not necessarily have to be a member of the board...not to be confused with non-executive member or director of the board. The MD leads the company not the board; that is the Chairman!! :)

Oh yes, an MD DOES have to be a member of the Board! Any, and every, director IS a member of the "Board of Directors" and the MD is actually the leader of the BoD.
