Exciting changes are coming to the Employees Stock Purchase Plan (ESPP). The changes are designed to enhance your ESPP benefits. This letter highlights changes to the ESPP and the enclosed brochure summarizes how the ESPP will work beginning in 2001.
TI continually reviews its compensation and benefits programs to ensure they remain competitive in the marketplace. The changes we are making to the ESPP will provide tiers with a greater advantage when buying or selling TI stock, and will streamline costs for administering the ESPP. The cost savings will be shared with participants through a 15 percent discount on the grant date price or on the exercise date fair market value (FMV), if lower. (Fair market value is the closing composite price for trading of Texas Instruments common stock.)
