Hola colegas:
Espero que no estéis pasando demasiado calor.
Os quería preguntar si entendéis esta expresión, que a mí se me escapa:
"If a Mezzanine Creditor fails to make a payment due from it under this Clause 15, the Security Agent shall be entitled (but not obliged) to take action on behalf of the Senior Creditor(s) to whom such payment was to be redistributed (subject to being indemnified to its satisfaction by such Senior Creditor(s) in respect of costs) but shall have no liability or obligation towards such Senior Creditor(s) or any other Senior Creditor as regards such default in payment and any loss suffered as a result of such default ***shall lie where it falls***."
Muchas gracias por adelantado.
Saludos,
N.

Butterfield v Forrester (1809) 11 East 60 at 61 (per Lord Ellenborough): here the defendant had obstructed the highway while engaged in repairing his house; the claimant, vehemently spurring on his horse, came riding through that highway, collided with the obstruction and was injured. Cf also Cayzer, Irvine & Co v Carron Co [1884] 9 AC 873 (HL) at 881 (per Lord Blackburn): “The rule of Common Law says, AS EACH OCCASIONED THE ACCIDENT, NEITHER SHALL RECOVER AT ALL, AND IT SHALL BE JUST LIKE AN INEVITABLE ACCIDENT; THE LOSS SHALL LIE WHERE IT FALLS.” For nineteenth century German law, see F Mommsen, Beiträge zum Obligationenrecht, vol II: Zur Lehre von dem Interesse (1855) 157: nothing is more natural than that everybody has to bear the consequences of his own negligence.
