3.2Non-qualification for Payments.
Study Center may not qualify for payments hereunder for any Subject:
(i) where, prior to the screening of a Subject or provision of any medical procedures or services to any Subject, there was a failure by Study Personnel to obtain both (a) Informed Consent and (b) an Authorization sufficient to allow Sponsor to use, store and disclose personal health information for Sponsor’s research, oversight and regulatory purposes, and as required by this Agreement; (ii) where Study Center or Study Personnel failed to follow the Protocol (excluding medically justified deviations as referenced in Section 2.2) or this Agreement (including the requirements in Exhibit A); or (iii) who was ineligible for the Study at the time of enrollment.
