There is no lien, encumbrance, charge or claim of any kind and nature whatsoever on the Services which will prejudice the rights of Xi in any manner. Service Provider has obtained or otherwise possesses all rights and clearances, necessary to enable X’s use, rental, public performance, communication to the public, display, promotion or any other use of the Services, in whole or in part, as contemplated in this Agreement (including all necessary and/or underlying rights from any author, screenwriter, director, actor, producer, composer, musician or performer, collecting collective rights entities or other talent, and all mechanical, synchronization, and ephemeral recording rights);
