Whereas X or an Affiliate of X as holder of the marketing authorization will bear all the direct costs, i.e. any and all variations, annual tax owed to the regulatory agency, generated by the maintenance of the marketing authorization in the Territory during the validity of this Agreement, Distributor will bear any other costs or tax or compensate it to X or an Affiliate of X should Vifor or an Affiliate of Vifor be charged.
