This is part of a contract/indemnification clause
and a terribly convoluted sentence 'therein' that explains that the LLC's members & managers shall be indemnified if actions have been / will be brought against them, with one exception:
"...other than an action by or in the right of the LLC..."
I.e., they are excluding themselves, which makes sense. No problem, but what is "an action in the right of"?
One of those legal niceties, and I cannot find a definition.
Is it "on behalf of" Or does it mean "which the LLC has the right to bring" (Implying: but may not)?
