The relationship between the parties is one of independent contractors, and neither party shall hold itself out or otherwise act as the agent or principal of the other. Each of the parties shall be solely responsible for all of its employees and agents and its labor costs and expenses arising in connection with such employees and is responsible for and will indemnify the other party from any and all claims, liabilities, damages, debts, settlements, costs, attorneys� fees, expenses and liabilities of any type whatsoever that may arise on account of the other party�s activities or omissions, or those of its employees or agents, including without limitation, in the case of the Distributor providing unauthorized representations or warranties (or failing to effectively disclaim all warranties and liabilities on behalf of the Company) to its customers or breaching any term of this Agreement.
