Effect of Termination of Employment and Changes in Control.
Unless otherwise determined by the Committee or as specified in the participant’s award agreement, the following rules apply to the treatment of a participant’s awards in the event a participant’s employment with VeriFone and its affiliates is terminated:
Upon termination of a participant’s employment by reason of death or disability (A) all of the participant’s awards that were vested and exercisable on the date of his or her death or disability shall remain exercisable for, and shall otherwise terminate at the end of, a period of 365 days from the date of such death or disability, but in no event after the expiration date of the awards; provided that in the case of disability, if the participant engages in competition prior to exercising such awards, without having received written consent to do so from the Board or the Committee, such awards will immediately terminate; and (B) all of the participant’s awards that were not vested and exercisable on the date of his or her death or disability shall be forfeited immediately.

"
