Bazirana na problemu asimetrije informacija postavljena je i hijerarhijska teorija financijske strukture (engl. Pecking order theory) opažanjem preferencija pri izboru izvora financiranja poduzeca
(Myers, 1984 i Myers, Majluf, 1984). Empirijskim istraživanjem utvrdena je hijerarhija preferiranja izvora financiranja kako slijedi: zadržane zarade, kreditni izvori, emisija dužnickih i emisija vlasnickih rijednosnih papira. U sklopu signalne teorije, kao i u sklopu hijerarhijske teorije, financijska struktura je tek posljedica investicijskih prilika
poduzeca, a ne varijabla aktivnog upravljanja.
