حيث أن:
1. بموجب تعديل عقد التأسيس لشركة الامارات العالمية لخدمات المنشآت والمقيدة بالسجل التجاري رقم (2051252024) وتاريخ 13/05/1445هـ والمثبت عقد تأسيسها لدى منصة المركز السعودي للأعمال برقم ضبطية: 100056435 وتاريخ (12/رجب/1445هـ)، والتعديل بتاريخ 22/09/1445هـ من قبل المالكين المذكورين أعلاه حيث يمثل حصصها بنسبة (70%) للطرف الأول و(30%) للطرف الثاني من رأس المال، وهي شركة ذات مسؤولية محدودة منظمة وقائمة بموجب أنظمة المملكة العربية السعودية "الشركة".
2. ويرغب الأطراف الآن في تحديد اتفاقهم النهائي إضافة لما نص عليه عقد تأسيس الشركة وملاحقه المذكورة أعلاه وتهدف هذه الاتفاقية لبيان فيما يتعلق بالشروط التي ستواصل الشركة العمل بموجبها وكيفية إدارة الأطراف للشركة وتشغيلها وعلاقاتهم مع بعضهم البعض، والتي ستصبح سارية اعتبارًا من تاريخ النفاذ.
